Let’s talk about the team:

- Reporting to the Lead Senior Tax Counsel, this position is for an experienced paralegal specialising in corporate secretarial and entity management housekeeping. You will be a key contributor to the global ResMed legal entity management program, ensuring good standing and governance of our legal entities, efficient and scalable corporate legal processes, interface with legal, finance and business stakeholders, and effectively leveraging legal technology systems.
- Let’s talk about the role:

- In the capacity of a paralegal providing corporate secretary services for our ResMed subsidiaries, you will have the following responsibilities:

- Corporate entity reporting requirements (focusing primarily on subsidiaries in APAC):

- Ensuring legal entity reporting and filings are prepared and filed annually as required, including liaising with other internal stakeholders and external firms in the preparation and lodgement.
- Maintaining a corporate calendar for recurring corporate legal filings required.
- Managing event-based changes including director changes and address changes, including working with external firms, and internal stakeholders.
- Managing services by external firms, include scope, delivery and fees.
- Monitoring changes to corporate obligations and regulations, and updating processes as required to ensure compliance.
- Updating corporate entity reporting requirements as legal entities are added, removed or modified.
- Organise subsidiary board meetings and execution of legal entity corporate documents as required under local laws and regulations.
- Identification and implementation of efficiency opportunities associated with the above.
- Other ad hoc Corporate entity management requirements (e.g. assisting with Bank Account registration, registrations with regulatory authorities, registrations with industry associations, etc )
- Legal Systems administration:

- Ensuring up to date management of entity information and key corporate documentation on ResMed’s legal systems.
- Initiating improvement opportunities for use of ResMed’s legal systems as relevant to corporate entity management.
- Assist with setting up templates in our legal systems for standardised and recurring processes.
- Governance and Policies:

- Ensuring legal entity compliance and reporting obligations are managed consistent with ResMed policies and governance standards.
- Ad-hoc projects:

- As required, assist with legal entity set-up, modification or termination projects requirements.
- Let’s talk about you:

- Minimum of 3 years of corporate secretary experience, preferably in a law firm, accounting firm or corporate legal department.
- Corporate entity management and corporate secretary experience of subsidiaries in an international environment.
- Ability and desire to work in a fast-paced and dynamic environment understanding that priorities can change in a very dynamic manner.
- Ability to work well under strict deadlines and impeccable attention to detail.
- Ability to work autonomously whilst demonstrating a proactive capability.
- Ability to be a proactive member of, and successfully engage with, a remote team under matrixed management structure.
- Excellent ability to communicate (fluent English) and interact effectively with all levels of the organization. Additional languages a plus.
- Demonstrated high standards of professional and business ethics.
- Understanding of corporate legal and financial documentation as it applies to corporate entity management, subsidiary board meetings and external reporting requirements for subsidiaries.
- Excellent analytical, organizational and project management skills, including proven ability to manage and prioritize multiple projects simultaneously.
