An experienced company secretarial professional is sought to support the Real Assets division within Macquarie Asset Management Private Markets.

Sitting within the Real Assets Governance team this is a unique opportunity to focus on corporate governance across a range of products in a busy transactional environment. You will be working closely with the Real Assets' legal team, funds management team, commercial colleagues, and Macquarie Group’s corporate governance’s team.

To be successful in this role you will have 3-5 years’ experience in a busy company secretarial role, thrive on working in a fast-paced and challenging environment, have exceptional attention to detail and organisational skills, and you will become the go-to source in respect to all aspects of Real Assets’ company secretarial practices and related internal policies.

You will be responsible for assisting with the governance for Real Assets’ Australian managed investments and funds and your key responsibilities will include:

- managing the coordination of board and committee meetings including agendas, reviewing board approvals, board paper collation and acting as secretary at meetings including proficient minute taking
- providing day-to-day company secretarial support including director changes, the maintenance of statutory records and the electronic corporate database, the coordination of corporate regulatory filings, liaising with outsourced service providers on global companies, D&O liability insurance
- drafting board papers, resolutions and basic legal documents for routine corporate actions
- overseeing the full life cycle of entities from incorporation to liquidation, and ensuring adherence to internal policies and procedures whilst doing so
- the provision of company secretarial support to the business during transactions and other ad hoc projects as required
- overseeing the use of powers of attorney, coordinating the execution of documents and maintaining document execution registers

You will ideally have:

- experience in a similar role, with a proficient knowledge of corporate governance practices and processes within Australia
- exceptional attention to detail to ensure accuracy in all aspects of the role
- strong organisational skills are essential to manage competing demands and stakeholders
- Diligent Entities and Diligent Boardbooks (preferred) or experience with another corporate database and electronic board paper software
- enjoy working in a challenging and dynamic governance role
- Governance Institute of Australia accreditation (desirable but not necessary)
