Job Description

The CFO & Company Secretary at Sandhurst Club is a dual-role position responsible for financial management, administration, risk, and governance functions. The role demands leadership, collaboration, and strategic oversight.

Key Responsibilities
  • Oversee financial management aspects, including accounts receivable, accounts payable, payroll, member accounts, and taxation.
  • Manage cash flows, debtors, creditors, borrowings, payroll, and investments, ensuring effective internal controls.
  • Prepare management reports for the Board and Committees and the Annual Financial Report for external auditors and members.
  • Oversee the financial management of assets, including capital planning, acquisitions, and disposals.
  • Collaborate with the Executive Leadership Team to develop and implement department budgets with a five-year financial plan.
  • Implement internal audit processes and ensure corrective actions are taken to meet financial targets.
Risk Management
  • Develop and maintain an enterprise risk management framework.
  • Regularly report risks and OHS obligations to the Board and Committees.
  • Support annual insurance policy reviews in conjunction with external brokers.
IT Systems & Governance
  • Collaborate with the IT provider to ensure seamless operation of Club systems.
  • Oversee procurement and tender processes related to IT systems and services.
  • Ensure compliance with all financial regulations (ASIC, Corporations Act) and monitor relevant policies and contracts.
As Company Secretary
  • Conduct a comprehensive governance audit and identify areas for improvement, ensuring compliance with statutory requirements and best practices.
  • Prepare detailed reports with recommendations for enhancing governance structures.
Requirements
  • CPA/CA qualified with extensive hands-on experience in a CFO or similar role, particularly in small to medium-sized businesses.
  • Demonstrated expertise in cashflow management, budgeting, and capital planning.
  • Proficient in reviewing legal documents, insurance policies, and procurement contracts.
  • Strong Excel reporting and experience preparing Board-level reports.
  • Bachelor's degree in Law, Business, or related field preferred.
  • Membership with the Governance Institute of Australia or a similar body is desirable.
  • Experience in a company secretarial role within the corporate sector, with a deep understanding of Australian corporate law and governance practices.
  • Proven ability to manage board meetings, maintain corporate governance documents, and provide governance advice to senior stakeholders.
  • Strong interpersonal skills with excellent verbal and written communication.
  • Proven experience in managing conflicts, fostering team development, and communicating effectively with senior management and Board members.
  • Proficiency in using board management software and governance tools.
