Administrative Governance Specialist

About the Role

We are seeking an Administrative Governance Specialist to assist in delivering high-quality governance services across our corporate structure. As a key member of our team, you will play a vital role in supporting Council, Board, and committee activities while ensuring compliance with governance best practices and regulatory requirements.

Key Responsibilities:
  • Compile agendas and supporting papers for Council, Board, and committee meetings, ensuring timely distribution.
  • Prepare draft minutes and Chair's Reports for governance meetings.
  • Track and coordinate follow-up actions with relevant management.
  • Assist in organising the Annual General Meeting and Council Election process.
  • Maintain statutory records, including director and councillor schedules and declarations of interest registers.
  • Support the development and maintenance of governance policies, charters, and frameworks.
  • Manage resources on Diligent and handle ASIC filings for Holdings and subsidiaries.
  • Research governance best practices and provide recommendations for continuous improvement.
  • Advise stakeholders regarding governance processes.
Requirements:
  • Tertiary qualification in business, commerce, or law (LL.B. or equivalent).
  • Experience in stakeholder engagement and governance or legal environments.
  • Knowledge of director duties and basic understanding of the Corporations Act 2001.
  • Strong organisational and time management skills.
  • Excellent written and verbal communication abilities.
  • Ability to build and maintain relationships with various stakeholders.
  • High attention to detail and problem-solving skills.
  • Proactive, with the ability to manage multiple priorities and deadlines.

The estimated salary range for this position is between $80,000 and $110,000 per annum, depending on experience and qualifications.
