Job Title: Company Secretary/Corporate Governance+Compliance

About the Role:

We are seeking a highly skilled and experienced Company Secretary/Corporate Governance+Compliance professional to join our team. As a key member of our national COMPANY SECRETARIAT/CORPORATE GOVERNANCE team, you will be responsible for providing company secretarial/corporate governance/compliance services to internal lawyers and blue-chip external clients.

Key Responsibilities:

  • Manage directors' and shareholders' meetings, including AGMs;
  • Prepare relevant company documents, such as agendas, minutes of meetings, statutory forms/returns, resolutions, share transfers, board reports/minutes, and ASX announcements;
  • Manage relationships with partners, lawyers, clients, and external service providers/regulatory bodies;
  • Maintain company registers;
  • Director induction;
  • Compliance with ASX Listing Rules and Corporations Act.

Requirements:

  • Degree/diploma qualified in law/commerce/accounting (or similar) and/or formal qualifications from the Governance Institute of Australia;
  • Minimum 2 years (or more) in a similar assistant company secretary/corporate governance/compliance role preferably in a professional services firm;
  • Solid knowledge of the Corporations Act, company operational/reporting requirements, and CAS software (preferred but not essential);
  • Outstanding communication and rapport-building skills;
  • High accuracy and ability to self-organise to meet tight deadlines;
  • Commitment to full-time for an initial 12-month fixed contract term (and ongoing thereafter if contract is extended and/or permanent employment offered).
