**Why is this the company and the job for me?**

Our client is a global trading platform which are currently experiencing enormous growth. They are now looking for a Company Secretary and Legal Officer managing all company secretarial and legal affairs with their Sydney business

**What will my day to day look like?**
Reporting to the Australian CEO & the Group Company Secretary you will be responsible for ensuring the smooth operation of the non-advisory stockbroking company in Australia, which is a subsidiary of a UK Parent Holding Company. This position requires an individual with a strong legal background and comprehensive knowledge of corporate governance and compliance requirements. The Company Secretary and Legal Officer will be responsible for managing all company secretarial and legal affairs, ensuring compliance with relevant laws and regulations, and providing legal support and guidance to the organization.

Responsibilities include, but are not limited to:
**Corporate Governance**:

- Ensure compliance with relevant corporate governance requirements and regulations.
- Organize and attend board meetings and general meetings, preparing agendas, minutes, and resolutions.
- Maintain accurate records of board decisions, policies, and legal documents.
- Advise the board and senior management on corporate governance matters and best practices.

**Legal Compliance**:

- Stay updated on relevant laws, regulations, and industry standards.
- Develop, implement, and maintain policies and procedures to ensure legal compliance.
- Conduct internal audits to assess compliance with applicable laws and regulations.
- Liaise with regulatory bodies and external legal counsel as required.

**Contracts and Legal Documentation**:

- Review, draft, and negotiate contracts, agreements, and legal documents.
- Ensure legal documentation is accurate, complete, and in compliance with applicable laws.
- Provide legal advice and guidance to internal stakeholders on contractual matters.
- Risk Management:

- Identify legal and regulatory risks and develop strategies to mitigate them.
- Implement risk management processes and procedures.
- Monitor legal and regulatory developments and advise management on potential impacts.

**Company Secretarial Duties**:

- Maintain statutory registers, including the register of members, directors, and debenture holders.
- Prepare and file statutory returns and reports with regulatory authorities.
- Ensure compliance with company law requirements and manage company filings.
- Assist in the preparation and distribution of annual reports and financial statements.

**Legal Support**:

- Provide legal advice and support on various matters, including corporate law, employment law, and contract law.
- Assist in the resolution of legal disputes and litigation.
- Collaborate with external legal counsel when necessary.

**What skills and experience will I need?**

You have at least 5 years of experience working as a Company Secretary or Legal Officer within a Stockbroking/related environment. You are hardworking, have a growth mindset and have:

- Bachelor’s degree in law or a related field.
- Qualified solicitor or barrister in Australia with a current practicing certificate.
- Proven experience as a Company Secretary or Legal Officer in a corporate environment.
- Strong knowledge of corporate governance, company law, and regulatory requirements.
- Familiarity with the stockbroking industry and financial regulations is preferred.
- Excellent analytical and problem-solving skills.
- Strong attention to detail and accuracy in legal documentation.
- Ability to work independently and handle multiple tasks simultaneously.
- Exceptional communication and interpersonal skills.
- Proficiency in legal research, contract drafting, and negotiation.
