  • Insignia Financial is undertaking a rapid and exciting transformation journey. It is in this context that we are looking for an experienced Committee Secretary to join our Company Secretariat team in a permanent fulltime capacity.
    The Role
  • In this pivotal role, you will be responsible for providing high quality support company secretariat and corporate governance support in the Company Secretary team.
You will also provide corporate governance advice and support to directors and business units as required

Key Responsibilities:

  • Act as the Committee Secretary for various Trustee committees and provide support to the Chair of those committees.
  • Provide, oversee, and support the delivery of all Trustee governance services in relation to all statutory obligations of the Trustee and its Directors under the Corporations Act and other relevant legislation including:
  • Management of meeting process (agendas, quality assurance of papers, crafting of resolutions, organising meetings, notice to directors, attendee management, attendance at meetings, minute taking, action items and matters arising) for all meetings of the Trustee Committees.
  • Recording and circulation of minutes and maintenance of the minute book.
  • Maintaining and active monitoring and closure of Action Plans and Matters Arising.
  • Maintenance of other governance related documents.
  • Assist the Head of Governance and Company Secretary in managing and driving all aspects of governance responsibilities for the Trustee in line with prudential and regulatory requirements encouraging collaboration and best practice, making great decisions quickly.
  • Assist Company Secretariat with secretarial services for other Group entities as required.
  • Assist in adhoc/project related tasks (as required), meeting all time critical deadlines (eg; regulatory investigations).
  • Build effective relationships with stakeholders, fostering trust and expanding the knowledge and importance of the Trustee's role.
  • Contribute to continuous improvement of the IFL Company Secretariat function.

To Be Successful in This Role You Will Possess:

  • Deep understanding of governance associated with Financial Services
  • Tertiary or post graduate qualifications in business/commerce/law, or equivalent experience.
  • Membership of Governance Institute of Australia or progress towards achieving required qualifications for membership.
  • Highly developed communication skills written, verbal, facilitation, and presentation
  • Ability to operate effectively in an environment of change and uncertainty with strong stakeholder management and relationship building skills.
  • Previous experience or study in the areas of company secretarial practice, corporate governance, or equivalent
  • Proficiency in the use of MS Excel, Word, and Outlook.
