**About the role**
This role manages the administrative company secretarial services of the Secretariat which supports the Boards and Board Committees of RBAL and RNZL (except for the Board People and Remuneration Committees for both RBAL and RNZL) and their subsidiaries. The role is responsible for providing high quality company secretarial support to the Regional General Counsel & Company Secretary AU and the Head of Legal NZ & Company Secretary NZ.
This role requires strong people skills to manage relationships with a number of key stakeholders across the business including members of the Legal & Secretariat team, RANZ Executive Team members and company directors. Another key requirement for the role is the ability to work accurately and efficiently on a range of tasks simultaneously and juggle the demands of a dynamic business environment. Strong technical and drafting skills and meticulous attention to detail is also required.
The role has the primary responsibility for managing the logistics of Board and Committee meetings including but not limited to:
- Managing the calendar of meetings;
- Scheduling RBAL and RNZL Board and Committee meetings and workshops, and liaising with Directors and Management in relation to scheduling and management of those meetings (including sending diary invitations, save-the-date notifications etc);
- Managing the RBAL and RNZL Forward Planners;
- Preparing Board and Committee agendas, reviewing and providing feedback on papers, uploading Board and Committee agendas and papers to Diligent Boards;
- Attending Board and Committee meetings and workshops to take minutes of the meetings;
- Drafting minutes for review by the Company Secretaries of RBAL and RNZL;
- Preparing and monitoring action lists arising from the Board and Committee meetings; and
- Keeping Board and Committee Charters, Policies and Standards up to date (including policies such as the Board Renewal Policies).
**To be successful you will have**
- University degree or relevant industry qualification or proven solid banking and finance expertise.
- Experience working in the banking / financial services / legal industry
- Proven ability to actively keep abreast of changes in external environment and translate into internal environment.
- Experience in a company secretariat, governance, compliance or regulatory role.
- An understanding of corporate governance.
- Solid understanding of regulatory/compliance issues in Australia.
- Must communicate effectively, manage multiple priorities, display attention to detail and maintain positive personal interactions.
- Must be well organised and efficient with an ability to prioritise tasks and manage their time effectively.
- Excellent drafting skills to prepare Secretariat materials such as draft minutes, circular resolutions, reports, correspondence, policies and procedures and training manuals.
