Northholm Grammar is incorporated as a public company limited by guarantee with a Board of Directors and provision for persons associated with the School to become members of the Company. Our Board is known as the School Council, which is responsible for the appointment of the Principal and the good management and welfare of the School, including provision for the maintenance and protection of the property.
Members of the School Council are selected on the basis of their skills, knowledge and experience across a range of professions. Their collective knowledge assists with the development and implementation of new plans and strategies for the School and guidance to the Principal on matters relating to the both the operation and management of the School. Council members are also heavily involved in various subcommittees alongside members of the community and experts in Governance, Risk and Compliance, Finance, Community Engagement and Partnerships. The Council meets regularly throughout the year with the Principal in attendance.
Director capabilities:
Applicants must be able to demonstrate governance experience and expertise that will contribute to the Board's collective skill mix. Specifically, we are seeking a deep knowledge, skills and understanding of education.
- Directors must also be team players, be able to commit sufficient time to meet their obligations and demonstrate personal qualities such as integrity and the capacity for independent thinking and collegial decision-making;
- Directors are expected to demonstrate personal qualities including the ability to listen and communicate ideas, the ability to ask pertinent probing questions, financial awareness, commercial astuteness, integrity and respect for confidentiality;
- Directors are expected to support the Anglican faith underpinning the foundation values of the school:
- Directors are required to undertake professional development to ensure compliance requirements obligations are met. Courses undertaken will be supported by the School with prior approval.
The Board will also consider whether the nominee brings balance and diversity to the Board.
Qualifications eligible for membership of the Australian Institute of Company Directors are desirable.
Board Directors are non-paid volunteer positions as required by the Education Act (NSW).
