Perpetual Group is an ASX-listed company (ASX:PPT) headquartered in Sydney, Australia, consisting of 11 leading brands across three distinct businesses: Asset Management, Wealth Management and Corporate Trust.
This is an exciting opportunity to become part of the Debt Market Services (DMS) team within Perpetual Corporate Trust - a specialist business within the Perpetual Group. In this role, you will review and manage client deal documentation.
Key Responsibilities
- Independent review of securitisation and structured finance transaction documentation to identify all legal, commercial and operational risks
- Engage and manage Perpetual's appointed lawyers for the legal review of documents
- Ensure Perpetual complies with transaction timetables and independently manage client expectations
- Ensure timely completion of any condition's precedent and handover to Client Services
- Review and manage amendments of transaction documents
- Ensure Senior Manager / Exec is briefed on key deal developments or risk issues
- Be aware of relevant industry developments and attend and participate in relevant seminars for debt markets
- Manage senior client relationships and represent DMS at an industry level - including ASF committees & training
- Manage any post-closing issues that arise including potential events of default or work out scenarios
- Initiating/driving process improvement, managing regulatory change and updating DMS policies as required.
About you
We're interested in hearing from people who have:
- Degree in Law, Business, Finance, or Economics (Law degree with practicing certificate highly regarded).
- Minimum five years' experience in banking, financial services, or legal practice, with at least three years in securitisation or structured finance.
- Proven ability to review and negotiate complex transaction documentation.
- Strong understanding of legal, regulatory, and commercial issues in securitisation and debt markets.
- Experience managing transaction timelines, conditions precedent, and post-closing issues.
- Skilled in process improvement, regulatory change management, and policy updates.
- Ability to manage client relationships and represent the business at an industry level.
