As Akaysha's Legal Manager - Corporate, you'll play a central role in shaping and strengthening the company's governance and legal foundations as it scales across Australia, the US, Japan, and Germany. Partnering closely with the General Counsel & Company Secretary, you will oversee corporate governance requirements, regulatory filings, board, committee and shareholder processes, ensuring discipline, consistency, and compliance across all operating regions.
The position combines corporate governance with commercial responsibility. You'll lead legal support for commercial business agreements, spanning consultancy, technology, SaaS, master services, labor-hire, and leases, and the creation of contract playbooks and templates designed to reflect privacy, data protection, cyber and other requirements aligned to regulatory compliance and the company's risk appetite. In supporting the contract lifecycle, you'll work closely with IT, risk, and compliance colleagues to embed privacy and cybersecurity considerations into daily operations.
Ownership of supplier onboarding diligence is a key element, with the chance to design and maintain these processes in close partnership with procurement, compliance and risk teams. You will also be a key leader in driving and enhancing the legal operations of the business and this unique role presents an opportunity to shape efficient workflows, leverage technology, deliver training, and design efficient systems to streamline contracting and governance management.
What you'll be doing:
- Ensure the company's ongoing compliance with the Corporations Act 2001 (Cth) and global corporate law requirements, managing corporate registrations, filings, and governance registers across Australia, the US, Japan, and Germany.
- Prepare and coordinate board and shareholder matters, including drafting resolutions, compiling meeting materials, and maintaining statutory records to support the General Counsel.
- Monitor and advise on changes in corporate governance and related regulatory obligations to keep the business in good standing in all operating regions.
- Draft, review, and negotiate a variety of business agreements (consultancy, software, SaaS, master services, labour-hire, and leases), ensuring alignment with governance policies and risk appetite.
- Develop and maintain contract playbooks, templates, and workflows, and oversee the full contract lifecycle from approval through to execution and filing.
- Embed privacy and cybersecurity compliance requirements into agreements and operational processes, collaborating with IT, risk, and compliance teams to ensure global legal obligations are met.
- Design and manage supplier due diligence and contract management tools—including checklists, escalation procedures, and recordkeeping systems—in partnership with procurement, compliance, and risk functions.
- Lead and mentor the legal operations team, fostering continuous improvement, delivering training to the business, and ensuring efficient, consistent legal support for a fast-growing, international organisation.
What you'll bring:
Corporate Governance Expertise
- Hands-on experience managing board processes, preparing resolutions, and maintaining efficient governance practices.
- Strong background in ensuring multi-jurisdictional compliance and overseeing regulatory filings.
Commercial Contracting
- Proven capability in drafting and negotiating consultancy, technology, and service agreements.
- Experience in balancing legal risk with commercial goals, supporting stakeholders for optimal business outcomes.
Privacy and Cyber Law Application
- In-depth knowledge to implement privacy and cybersecurity law requirements across global operations.
- Robust KYC and data protection compliance experience in diverse jurisdictions.
Legal Operations Enablement
- Implementation and refinement of practical legal operations systems, including playbooks and templates.
- Demonstrated continuous improvement of legal tools and operational processes.
Governance Support Systems
- Track record of designing and managing effective board and committee governance systems.
- Ability to streamline administration, documentation, and statutory compliance for seamless operations.
