REnew Pacific is a AU$75M program over 4.5 years. It aims to scale and expand on the critical lessons learned in the DFAT-funded Business Partnerships Platform (BPP) pilot to support DFAT and the Australian Infrastructure Financing Facility for the Pacific (AIFFP) to address climate infrastructure mitigation, adaptation and resilience among Pacific states and help Australia be the climate infrastructure partner of choice in the Pacific.
Purpose of Position
Reporting to the Deputy Team Leader – Operations Lead, the Risk, Contracting and Compliance Manager will review all REnew Pacific contracts for risks and flag compliance issues and support the full and compliant implementation of the REnew Pacific Risk Management Plan and safeguarding policies.
Primary Responsibilities
Contracting and compliance
- Lead on legal and contracting matters, including preparing contracts, negotiating terms and conditions, identifying and mitigating risks and ensuring compliance with head contract and organisational policies.
- Ensure all contractual agreements comply with head contract requirements and general risk and compliance considerations, including on financial, contractual, modern slavery, anti-money laundering, PSEAH, and child protection to ensure alignment with DFAT and Palladium policy and guidelines.
- Collaborate with Palladium's corporate APAC Legal team to ensure that all negotiated terms are appropriately reviewed and approved, and that contractual terms and conditions are fit for purpose and aligned with Palladium's compliance standards.
- Lead on due diligence reviews and assessment of grant partners, suppliers and implementing entities to ensure integrity capability and compliance with funding requirements.
Risk management and safeguarding
- Review and update the Risk Management Plan and ensure full and compliant implementation of the Risk Management Plan by all REnew Pacific team members and partners.
- Prepare and update the program risk register each quarter, including a summary of key risks and mitigation measures and present to DFAT as required.
- Assist the Modern Slavery Adviser with risk assessments and related due diligence as required.
- Support fraud investigations and incident and safeguards breach reporting, in coordination with Palladium's and DFAT's contractual obligations and policy documents.
- Act as program's Safeguarding Focal Point, participating in community of practice and supporting safeguarding matters through implementation of the program's Grievance and Incident Reporting Mechanism.
- Lead on conflict-of-interest management, including providing advice to program team, maintaining and updating the conflict-of-interest register and ensuring compliance with organisation and DFAT requirements.
- Collaborate with Palladium's corporate APAC Safeguarding, APAC Safety and Security, and APAC Due Diligence teams to identify, assess, and manage project-specific risks. This includes contributing to due diligence processes, safeguarding compliance, and ensuring alignment with corporate risk management frameworks.
Others
- Facilitate knowledge sharing and best practices on safeguarding, risk management, contracting and compliance with Palladium Community of Practice.
- Other duties as may reasonably be required by the Deputy Team Leader - Operations Lead and consistent with the incumbent's qualifications and experience.
Minimum Education and Experience Required
Qualifications
- Undergraduate degree in a relevant field (for example, law, human resources, business, international development related discipline).
Skills and Experience
- Experience in supporting cross-sectoral international development activities, including drafting and reviewing contracts and grant agreements, financial management, compliance and fraud control, acquittals and audits.
- Experience working with the donor agreements and grants functions.
- Experience with Australian Government/DFAT-funded programs and demonstrated experience of key Australian Government aid delivery policies (including the Commonwealth Procurement Rules, Grant Rules and Guidelines and DFAT's Safeguarding policies) is desirable.
- Strong cross-cultural, interpersonal, communication, stakeholder engagement and capacity strengthening skills.
