**The Role**
After a period of change and growth at Adelaide PHN, we are searching for a legal counsel and company secretary to join our senior leadership team as Governance and Risk Manager.

As Company Secretary you will provide legal and corporate governance advice to the Board, Board committees and Chief Executive Officer (CEO) as required and ensure the organisation’s compliance with its legislative responsibilities.
The appointment as Company Secretary will be made by the Board of Directors. On a day
- to-day basis you will report directly to the CEO, but provide independent advice to the Board, as required. As such, this role involves complex interaction between the Board Chair, Board Directors, the CEO, Executive and Senior Leadership.

As Governance and Risk Manager you will lead Adelaide PHN’s corporate governance, contracts and compliance, legal and risk functions to ensure operational transparency, accountability, and compliance with statutory obligations by (but limited to):

- Providing a range of legal and governance advice and support, enabling the organisation to meet its strategic and operational objectives in compliance with the law and within acceptable risk frameworks and corporate policies.
- Designing, implementing and maintaining contemporary and fit-for purpose risk management, governance, compliance, ethical, internal audit and control, complaints and contract management frameworks, underpinned by effective policies, procedures, systems and activities to ensure continuous compliance with relevant standards, laws and regulations, and industry best practice.
- Formulating and implementing organisational strategy and policy to embed corporate governance across Adelaide PHN, which enables execution to drive superior performance and mitigate potential compliance and reputational risks for the organisation.
- Providing people leadership, management and coordination for the activities of Adelaide PHN’s corporate governance, contract management, compliance, risk and business support functions.

**About You**
To be successful in this role you’ll need:

- Tertiary qualification in law and holder of a current unrestricted practising certificate (or ability to readily regain a practicing certificate).
- A formal governance, risk, audit, quality or company secretary qualification and/or experience as a company secretary (highly regarded, not essential), or thorough understanding of the role of Company Secretary, including well-developed knowledge of governance, compliance and Board procedures.
- Extensive understanding of corporate governance, risk management, compliance, quality assurance and business systems and processes or related fields and practical experience developing and implementing relevant strategies and frameworks.
- Demonstrated experience in managing and transforming governance operations resulting in positive change.
- Experience working in/with a not-for-profit sector organisation or demonstrated high level understanding of the not-for-profit sector and relevant legislation/statutory requirements.
- Experience in a similar role with demonstrated exceptional people leadership, operational management, governance and engagement skills.
- Demonstrated ability and experience in dealing with sensitive information and enforcing a high level of confidentiality and ethics across the team.
