Lendlease Australia is seeking an experienced Company Secretary, who will report to the Head of Company Secretarial. The Company Secretary will provide company secretariat and governance support to Lendlease Australia’s businesses including its Investment Management business unit, ensuring corporate governance procedures are met.
The Company Secretary will be part of a highly collaborative and supportive Lendlease Australia Secretariat team. The Company Secretary will develop positive and productive working relationships with the Secretariat team, internal stakeholders from the relevant business functions, and external stakeholders (including external Board and committee members, auditors, external service providers etc.).
The Company Secretary responsibilities will include:
- Organisation of and attending Board and committee meetings, and preparation of minutes of meeting.- Preparing and tracking of circular resolutions.- Management of companies and trusts generally, and provision of information about entities, as required.- Supporting the efficient functioning and running of Board and committee meetings, including the management of calendars, workplans, meeting arrangements and logistics.- Ensuring that ASIC filings and reporting obligations are met and within the prescribed time.- Maintaining and updating Board and committee charters.- Maintaining structure and corporate records.- Incorporating companies and trusts, as required.- Administration of business name registrations.
About you
To be successful in this role, you will be tertiary qualified in Business, Law or Commerce along with post graduate company secretarial qualification. You will have at least 5 years’ company secretarial experience working within a large organisation. Excellent problem-solving skills and the ability to manage expectations, influence and build relationships with key stakeholders will be crucial.
