We act for businesses, financiers, borrowers and guarantors providing specialist legal advice on all finance related transactions including loan facilities, mortgages, guarantees, personal property securities and finance recoveries.

Our team has over 20 years’ experience and has acted for most of Australia’s largest banks.

We have experience in a diverse range of finance transactions including combinations of debt, equity, and mezzanine debt. We have advised on lending structures including syndications, participations, clubs and other complex inter-creditor arrangements. Transactions have covered most industries including property development, commercial property, mining services, energy and resources, financial services, labour hire, retail, rural and motor vehicle dealerships.

We have also acted for financiers in restructures, secured recoveries, receiverships and mortgagee sales. In addition to negotiating asset management agreements, sale agreements and joint venture development agreements we have provided extensive advice with respect to mortgagee’s and receiver’s duties under the Corporations Act and the Property Law Act.

In addition to transactional matters we have advised in respect of compliance issues including the National Consumer Credit Protection Act, Personal Property Securities Act, Banking Code of Practice, Anti-Money Laundering and Counter-Terrorism Financing Act, Privacy Act and other relevant legislation. We have prepared credit code compliant suites of documents and manuals as well other standard form documentation for use by short term lenders, receivables financiers and other boutique financiers.

We have also acted extensively for borrowers and guarantors including review and negotiation of facility documents and provision of independent legal advice certificates. We also have the trust and respect of financiers when acting for borrowers and guarantors in default situations.
