Our client is a distinguished boutique law firm specializing in corporate and commercial law. They cater to a diverse portfolio of high-profile clients and maintain robust partnerships with leading enterprises and notable individuals. With a primary office located in a major city and plans for expansion, they are looking to enhance their accomplished team by bringing on board a seasoned Corporate Lawyer. The firm is committed to delivering exceptional legal support to help clients achieve their commercial objectives, boasting a successful track record in advising on mergers, acquisitions, and divestitures across both domestic and international markets.
About the Role:
The firm is in search of a Corporate Lawyer with 7-10 years of post-admission experience to join their expanding practice. The ideal candidate will be a recognized expert in corporate law, capable of excelling in their role while also mentoring junior associates.
Key Responsibilities:
- Client Advising: Deliver expert legal counsel to a wide array of corporate clients on issues including business structuring, regulatory compliance, and corporate governance.
- Contract Drafting and Negotiation: Prepare, review, and negotiate various contracts and agreements, encompassing commercial contracts, employment agreements, and partnership arrangements.
- Mergers and Acquisitions: Oversee and provide guidance on mergers, acquisitions, and significant business transactions, including conducting due diligence and drafting essential transaction documents.
- Corporate Structuring: Assist clients in selecting the most beneficial legal structure for their businesses, whether it be a corporation, partnership, or limited liability company.
- Regulatory Compliance: Ensure adherence to industry-specific regulations and governmental requirements, advising clients on best practices and aiding in the implementation of compliance programs.
- Dispute Resolution: Represent clients in corporate disputes, including shareholder disagreements and breach of contract cases, often collaborating with the firm's litigation team.
- Intellectual Property Management: Guide clients in safeguarding their intellectual property rights, including trademarks, patents, and copyrights.
- Corporate Finance: Advise clients on corporate finance transactions, ensuring compliance with securities regulations.
- Cross-Border Transactions: Provide legal insights on international business dealings, navigating the complexities of cross-border mergers and acquisitions.
- Due Diligence: Conduct comprehensive due diligence investigations, identifying potential legal risks and advising on mitigation strategies.
- Corporate Governance: Assist clients in establishing effective governance frameworks, including board structure and compliance with regulatory obligations.
- Client Relationship Management: Foster and maintain strong relationships with clients, tailoring legal solutions to meet their specific business needs.
- Legal Research: Perform thorough legal research on complex corporate law issues, providing well-informed legal opinions.
- Business Development: Engage in business development initiatives, including networking and contributing to marketing efforts to attract new clients.
- Ethical Standards: Uphold the highest ethical and professional standards in all legal work.
Key Requirements:
- Minimum of 7 years of post-admission experience in corporate law within a reputable firm.
- Proven ability to meet billable targets.
- Experience in mentoring and managing junior team members.
- Unrestricted practicing certificate.
- Positive attitude and strong commitment to completing tasks efficiently.
