Corporate Governance Director

About the Role

This senior position requires a skilled professional with a strong background in corporate governance, legal entity structures and operations.

  • Partner with the Vice President, General Counsel and Secretary to manage corporate governance, subsidiary compliance, operational, and transactional legal matters.
  • Manage logistics for board of directors and board committees.
  • Support external and internal audit teams to ensure compliance with policies and regulations.
  • Evaluate, revise and implement policies and procedures relating to corporate governance, subsidiary governance, and legal operations.
  • Lead a team of professionals across the globe who manage and ensure compliance in our network of global subsidiaries.
  • Support legal entity restructuring and optimization projects.
Requirements
  • Bachelor's degree and 7-10+ years of relevant experience or Paralegal certificate with an ABA-accredited program and 12-15+ years of relevant experience.
  • Prior experience working as a member of the legal and/or corporate secretary department of a U.S. publicly traded company with global operations.
  • North Carolina Notary Public credential or obtain within 90 days of hire date.

A bachelor's degree and relevant work experience are required for this position. Prior experience working in a similar role at a U.S. publicly traded company with global operations is also preferred.
