Job Description

Executive Secretary for Corporate Affairs

Role Overview

The Executive Secretary will serve as the key governance advisor for Pacific Partnerships and its associated entities, ensuring adherence to high standards of corporate governance, regulatory compliance, and data integrity.

Key Responsibilities:

Governance and Compliance

Ensure alignment with all pertinent legal and regulatory frameworks as well as internal policies. Oversee the quarterly assurance processes for financial reporting. Implement governance protocols as necessary. Provide guidance to executives and board members on constitutional and regulatory obligations. Conduct training sessions for disclosure officers and maintain comprehensive training records. Ensure compliance with all relevant legislation and governance standards both domestically and internationally. Manage responses to statistical inquiries from regulatory bodies.

Board Administration

Oversee the preparation and distribution of materials for board meetings and committees. Develop agendas and governance documentation for board activities. Draft minutes for board meetings and committee sessions. Manage changes in board membership and officer appointments. Create and monitor the annual schedule for board and committee meetings. Evaluate the performance of the board and its committees against established charters. Assist the Chairperson in conducting the annual performance review of the board.

Compliance and Ethics Management

Maintain statutory registers for all relevant entities. Prepare and submit necessary statutory documentation to regulatory authorities. Oversee the annual review process, including solvency declarations and reporting discrepancies. Collaborate with finance teams to ensure timely approval and submission of financial reports. Manage compliance processes for new corporate entities and oversee the deregistration of inactive entities. Facilitate corporate actions and ensure proper execution of significant documents. Maintain updated organizational charts and compliance documentation.

Annual Reporting

Organize and participate in annual reporting committee meetings. Develop the annual reporting timeline and coordinate with report authors to ensure quality deliverables. Review annual reports for consistency in messaging and content.

Systems and Processes

Manage corporate governance systems and board portals. Liaise with service providers to enhance governance processes and adapt to technological advancements.

General Duties

Maintain records of joint ventures and alliances. Foster communication with company secretariats and finance teams for reporting purposes. Act as the primary contact for governance inquiries across the organization. Provide strategic advice to enhance the company secretarial function. Develop and maintain governance policies on the company intranet. Keep detailed registers of directors' interests and training activities. Engage in various projects across the organization as needed.

Required Qualifications:

Degree in business or law. Graduate Diploma in Applied Corporate Governance.

Required Experience and Skills:

At least eight years of experience in a similar role within a large organization. Expertise in corporate governance and board administration. Familiarity with annual reporting processes and corporate management. Strong understanding of regulatory environments and industry challenges. Excellent communication and interpersonal skills. Proven ability to work in a fast-paced environment with a focus on accuracy. Strong relationship management skills and the ability to influence stakeholders. Knowledge of electronic corporate governance systems.
