Job Summary

We are looking for a detail-oriented and proactive Corporate Compliance Manager to ensure our organization adheres to all applicable legal and regulatory requirements.

Key Responsibilities

  • Overall responsibility for Legal Compliance for Group Bayport (All Indian and Foreign Entities)
  • Vetting of contracts entered by any Group Bayport entity
  • Vetting of any legal submission to statutory authorities by any Group Bayport entity
  • Liaison and meeting with government officers of different statutory authorities, if required
  • Reviewing, following up and ensuring timely compliance (including filling of various statutory forms) and updating of compliance Dashboard
  • Preparing MOM for various meetings
  • Reporting of compliance dashboard and other matters to the management on a monthly basis as part of Legal MIS
  • Experience of working with cross-border transactions
  • Oversee the company's corporate compliance framework to ensure adherence to all applicable laws, regulations, and standards
  • Serve as the company secretary, managing all aspects of corporate governance, including organizing and preparing agendas for board meetings and annual general meetings (AGMs)
  • Ensure timely filing of statutory returns and forms with regulatory bodies (e.g., Registrar of Companies, SEBI, etc.)
  • Act as the primary point of contact for all corporate governance and compliance-related queries within the organization
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action
  • Develop, implement, and maintain policies and procedures related to corporate governance and compliance
  • Conduct internal audits and assessments to ensure adherence to corporate compliance policies and identify potential areas of risk
  • Coordinate with external advisors and regulatory bodies as necessary to ensure compliance and manage risks
  • Ensure compliance with all legal, regulatory, and ethical standards related to corporate governance and company secretarial functions
  • Experience of managing Company Secretarial matters of Public Listed companies in India / U.S.

Requirements

  • Qualified Company Secretary (CS) and member of the Institute of Company Secretaries of India (ICSI)
  • Bachelor's degree in law, Commerce, or a related field. An LLB degree is preferred
  • 5-10 years of experience in corporate compliance, governance, and company secretarial roles

Technical Skills

  • Familiarity with international corporate governance standards and practices
  • Proficiency in using compliance management software and tools
  • Strong understanding of corporate law, SEBI regulations, and other regulatory requirements
  • Excellent organizational, communication, and interpersonal skills
  • High level of integrity and professional ethics
  • Strong analytical and problem-solving skills with attention to detail
  • Ability to handle sensitive information with confidentiality and discretion
