Role Summary

This is an exciting opportunity to leverage your expertise as a Governance professional to drive corporate governance across our group of companies.

About the Role

The successful candidate will assist the Group Company Secretary in administering processes, ensuring compliance with legal and regulatory obligations while fostering efficiency and collaboration between the Board and Management. This includes maintaining charters, policies, and corporate records, as well as ensuring adherence to ASIC, APRA, and other relevant requirements.

Key Responsibilities
  • Governance: Assist the Group Company Secretary in managing the day-to-day activities associated with Director Elections, the Annual General Meeting, and annual reporting.
  • Regulatory Compliance: Ensure adherence to relevant laws and regulations, including maintenance of charters, policies, and corporate records.
  • Oversight: Manage the coordination of Board and Board Committee meetings.
Requirements

To be successful in this role, you will need:

  • A Bachelor of Law (or similar) and qualifications from the Governance Institute of Australia and/or AICD.
  • At least 5+ years' experience as an Appointed Company Secretary of a highly regulated company and 3+ years' experience as a corporate lawyer or financial services lawyer.
  • Specialised knowledge of the Corporations Act and APRA prudential standards.
