The role of Corporate Governance Specialist is responsible for assisting the company's Secretary to execute on the corporate governance of the organisation.
The principal purpose of the position is to act as the second appointed Company Secretary and oversee the embedment of the corporate governance framework for the organisation, its Boards and Board Committees.
Key Responsibilities:
- Administer processes, ensuring compliance with legal and regulatory obligations while fostering efficiency and collaboration between board and management.
- Maintain charters, policies and corporate records and ensure adherence to ASIC and other legal requirements.
- Manage the day-to-day activities associated with Director Elections, the Annual General Meeting and annual reporting while ensuring effective communication with stakeholders.
- Oversight of Board and Committee meetings.
This role is ideal for a legally qualified professional with experience in corporate governance. A Bachelor of Law (or similar) and qualifications from the Governance Institute of Australia and/or AICD are required.
Specialised knowledge of the Corporations Act and APRA prudential standards is essential. At least 5+ years' experience as an Appointed Company Secretary of a highly regulated company and 3+ years' experience as a corporate lawyer or financial services lawyer are also necessary.
Key responsibilities include overseeing and maintaining Group governance structures, including charters and key governance documents, and developing and implementing governance policies, processes and procedures.
