About this role:

As Senior Legal Counsel, you will provide expert advice across various corporate, commercial, regulatory, and operational matters. You will work closely with leadership and cross-functional teams to manage legal risk and support strategic transactions.

Your key responsibilities include:

  1. Advising on a wide range of legal matters including corporate governance, mining, employment, procurement, and compliance
  2. Supporting mergers and acquisitions, takeover activities, and divestment transactions, including conducting due diligence and preparing transaction documentation
  3. Drafting, reviewing, and negotiating complex legal agreements
  4. Monitoring and assessing compliance with relevant legislation, ASX Listing Rules, and regulatory developments
  5. Collaborating with internal stakeholders to promote strong governance and risk management practices
  6. Managing relationships with external legal advisors and other stakeholders
  7. Ensuring alignment with the Company's Code of Conduct, policies, and safety standards
  8. Assisting with company secretarial activities

This varied role requires a commercially astute and strategically minded individual with the ability to influence and engage meaningfully at all levels. Proactive and solutions-focused, you approach challenges with a calm and pragmatic mindset. Strong interpersonal skills and the ability to influence across all levels of the organisation are essential.

You will be responsible for delivering pragmatic, commercially sound legal advice in a dynamic business environment. Significant demonstrated experience, ideally across both private practice and in-house roles, is highly desirable. A strong working knowledge of the legal regime applicable to mining and exploration is required. Proven experience in M&A transactions, commercial negotiations, and regulatory compliance is also essential.
