We are seeking a highly skilled Corporate Governance Specialist to join our team at Senex Energy Limited, a world-class energy supplier. As an Assistant Company Secretary, you will play a critical role in ensuring the alignment of our governance framework with our strategic objectives and values.

Job Overview

The successful candidate will be responsible for supporting the General Counsel & Company Secretary in maintaining high standards of corporate governance. This includes organizing board meetings, preparing agendas, coordinating production of papers, taking accurate minutes, and monitoring progress against action items.

You will work closely with our Executive and Board members to ensure compliance with regulatory requirements and best practices in corporate governance.

The ideal candidate will have a strong background in finance or law, with experience in corporate governance, compliance, and risk management. AICD or Corporate Governance Institute qualification is highly desirable. You will possess strong relationship skills, particularly at Executive and Board level, with a highly developed verbal and written communication skillset.

Key Responsibilities
  • Organize board meetings and committee meetings, prepare agendas, coordinate production of papers; take accurate minutes; prepare action registers following meetings, liaise with owners of various action items, and monitor progress against action items.
  • Support the board with corporate governance best practices and regulatory requirements.
  • Manage the Board and Shareholder Circular Resolution process as required.
  • Coordinate use of the Board Platform (Diligent) and ensure currency of all material on the system.
  • Manage share capital, including issuances of shares.
  • Ensure completion and lodgement of statutory forms/returns and reporting under ASIC, the Australian Corporations Act, and other relevant legislation.
