We are seeking a highly skilled and experienced Legal Counsel to join our team at Harmony Australasia. As a key member of our corporate legal team, you will provide legal and company secretarial services to our companies within Harmony Australasia, ensuring good corporate governance and compliance with applicable regulations.
Key Responsibilities- Provide Legal Advice: Provide efficient, timely, and commercially focused legal advice to relevant Harmony Australasia entities and stakeholder groups across a diverse range of legal issues.
- Support Operations: Work with our operations team to provide legal services in connection with the present and future operations, including extensions and expansions, of our mining operations.
- Support Project Development: Work with the Eva Copper Project team to provide legal services in connection with the construction, development, permitting, and operation of the Eva Copper mine in North Queensland.
- Support Business Growth: Assist our Growth & New Business team to provide legal services in connection with the investigation, evaluation, negotiation, due diligence, and acquisition of new business opportunities.
- Support Procurement: Work with our procurement team to advise, negotiate, prepare, and execute goods, services, consultancy, construction, project, and other commercial agreements and probity issues.
- Support Employment Matters: Provide legal services in connection with employment issues arising in both Australia and PNG to our Human Resources management team.
- Manage Litigation: Manage litigation and advise on potential claims.
- Manage External Advisors: Manage the engagement and performance of external legal advisors as required.
- Prepare Corporate Documents: Prepare resolutions, corporate registers, and other corporate minutes for Harmony Australasia companies in Australia and PNG.
- Risk Management: Identify and mitigate risks, address corporate governance and regulatory issues across a range of company activities.
- Liaise with Government Agencies: Liaise with external government and other agencies in Australia and PNG to prepare, exchange, and file returns, reports, and related correspondence arising out of the above matters.
To succeed in this role, you should be self-motivated and able to work efficiently and collaboratively, holding the following qualifications and experience:
- Admitted as a solicitor in one or more States in Australia (or equivalent qualifications from overseas and taking steps to be admitted in Australia)
- Minimum 4 years' experience
- Excellent communication skills, both written and verbal, with the ability to effectively communicate with stakeholders at all levels
- Experience in project, construction, and/or resources law (desirable)
- Experience in-house with a mining company or engineering firm providing services to the resource sector (desirable)
