Job Title

**Supporting Corporate Governance and Board Administration


This role offers an exciting opportunity to provide administrative support to the board and corporate governance requirements for a company. The successful candidate will work closely with the General Manager, Legal to ensure efficient conduct of board and committee meetings, prepare and circulate papers, and manage ASIC lodgements.


Key Responsibilities
  • Assist the General Manager, Legal with all company secretarial responsibilities, including:
    • Coordination of Board and Committee meetings; issuing calendar invitations, preparing agendas, liaising with directors and the business, and compiling and distributing papers
    • Drafting of Board and Audit & Risk Committee papers in relation to governance and policy matters
    • Ensuring efficient conduct of board and committee meetings; drafting minutes and circulating resolutions in a timely manner
    • Preparation of Corporate Governance Statement and Directors' Report for Annual Report
    • Management of ASIC lodgements in a timely manner
    • Maintaining register of directors' interests and register of advisers; assisting directors and management with identification of conflicts of interest
  • Providing assistance with implementation of policies and procedures, including providing training
  • Compiling and maintaining documentation relating to legal transactions

Requirements
  • Qualified lawyer or degree holder and member of the Governance Institute of Australia
  • Ideally five years' experience supporting a board in a company secretary/governance function
  • Proven experience working with the board
  • Excellent communication and interpersonal skills
  • Ability to influence and build relationships at all levels
  • Ability to manage conflicting deadlines
