Transaction Execution Professional

We are seeking a skilled and experienced Transaction Execution Professional to join our team. As a key member of our APAC Fund Finance team, you will play a crucial role in managing transactions and ensuring their successful execution.

  • Your primary responsibility will be to provide transaction management support and commercial risk management for Fund Finance transactions across APAC (excluding Japan).
  • You will be responsible for structuring, negotiating, reviewing, and executing legal documentation, including facility agreements, security documents, fee letters, and other ancillary finance documents.
  • Another key aspect of your role will be to draft and negotiate term sheets and mandate/engagement documentation in collaboration with the Fund Finance transaction team lead.
  • You will also be responsible for negotiating and driving the loan documentation process, working closely with external legal counsel.
  • In addition, you will lead and coordinate the deal team to ensure timely resolution of negotiations and successful transaction execution.
  • Furthermore, you will engage and manage external counsel, including negotiation of scope of work, and implement project management discipline to mitigate law firm fees.
  • You will maintain best practice loan execution standards, reflecting local and global precedents, and support client engagement and interaction, including leading and contributing to transaction correspondence with external parties.
  • Lastly, you will monitor, identify, and advise on commercial and documentation risks, working closely with Legal and/or external counsel, and collaborate with the Legal and Compliance teams on regulatory changes in APAC, focusing on Fund Finance.

Requirements:

  • 3+ years post-qualification experience with at least 2 years of loan transactions experience within structured finance.
  • Fund Finance experience is preferred.
  • An undergraduate Law Degree from a leading university is essential.
  • Australian/Singapore/UK qualified mid-senior lawyer is preferred (can consider other jurisdictions).
  • Proficiency in Microsoft products with strong financial modeling skills.
  • Strong legal, financial, and commercial acumen.
  • Ability to engage in independent research and analysis of customers and markets, applying critical thinking and attention to detail.
  • Effective communication and interpersonal skills.
  • Team player with initiative, drive, and enthusiasm.
  • Analytical mindset and problem-solving skills.
