The Opportunity:

As a rapidly growing business in an emerging industry, we embrace the leadership responsibility of being a commercially successful and well governed business. This is an opportunity to make a significant influence on the exceptional potential of our business and the evolution of the medicinal cannabis industry. Having a seat on the leadership team and reporting directly to the CEO, you will help grow our business with commercial flair whilst ensuring our governance and regulatory requirements are met.

Your Role:

1. Commercial – complete contract reviews, providing sound commercial and legal advice to the executive management team. Ensure a robust system for contract management and filings. Advise the company and work alongside external counsel on any claims and litigation.
2. Governance and Risk – Manage the Risk Committee and report to the Board and Executive team on key business risks and governance or regulatory issues.
3. Company Secretarial – advise the Board on responsibilities and duties under the Corporations Act, corporate governance regulations and any other regulatory matter. Ensure agendas, papers, meetings and minutes are professionally prepared in a timely manner to drive quality decisions. Manage the company’s regulatory obligations, shareholder registry and any employee share plans.
4. Compliance and Reporting – develop, implement and monitor our internal compliance framework including governance policies. Ensure all reporting requirements are accurate, professionally presented and timely.
5. Growth, M&A and Strategy – partner with the executive leadership team to drive growth, whilst balancing risk. Play a lead role in any M&A or funding transactions ensuring shareholder, customer and employee interests are protected or grown.
6. Leadership – demonstrate constructive behaviours in the senior leadership team and work collaboratively with staff at all levels of the business.

Essential Skills and Experience:

- 10 years post-admission experience, preferably in-house for a large corporation or in a top-tier firm.
- AICD Company Secretary qualification or 5+ years performing this function for a high-growth business
- Experience in regulated industries is essential. Healthcare, pharmaceuticals, or cannabis are highly-desirable.
- UK experience is also highly desirable.
- Excellent strategic thinking, written and verbal communication, and interpersonal skills.
- Commercially savvy and can balance risk.
- Strong influencer and creative thinker.
