Overview

Senior Vice President, Legal Counsel, Corporate Finance, Treasury & Trade - Hybrid (Internal Job Title: Senior Lead Counsel 1 - C14) based in Sydney, Australia. Citi’s Legal team supports business objectives while identifying, managing and mitigating legal, regulatory and reputational risks. The role provides high quality legal advice and counsel to stakeholders across Citi.

Role and Responsibilities

The SVP Legal Counsel will be a member of the Citi Legal, Australia & NZ team, primarily supporting the Corporate Bank, Commercial Bank, and Treasury & Trade Solutions in Australia and New Zealand. Responsibilities include advising on corporate finance transactions and banking products such as corporate loans, structured finance, securitisation, acquisition finance, business banking for mid-large cap corporates, commercial real estate financing, receivables finance, letters of credit, payments platforms and corporate credit cards. There is exposure to debt capital markets, equity capital markets and M&A transactions in collaboration with the APAC regional Citi Legal IB team. All team members work to support each other and may be involved in broader legal projects, including regulatory change, privacy and data protection, modern slavery regime, climate reporting and licensing queries, outsourcing and procurement contracts. The role may involve cross-franchise matters and opportunities to learn across areas outside the immediate role.

Responsibilities

- Support the breadth of business areas (Corporate Bank, Commercial Bank, Treasury & Trade Solutions) and related legal work in Australia and New Zealand.
- Collaborate with other Citi Australia & NZ Legal team members and APAC regional teams on debt/equity capital markets and M&A matters.
- Handle cross-franchise matters such as regulatory and licensing issues, outsourcing and procurement contracts.
- Contribute to legal projects involving legislative and regulatory changes affecting the business (including international considerations).

Qualifications and Experience

- At least 10 years’ post-qualification legal experience, in-house or private practice, in a common law jurisdiction.
- Extensive experience in corporate finance transactions (acquisition finance, syndicated lending, bilateral and secured/unsecured lending, commercial real estate financing, receivables financing, securitisation).
- Comprehensive knowledge of Australian state and federal laws and practices.
- Proven analytical and organisational skills; ability to communicate clearly in writing and verbally to varied audiences.
- Broader commercial law experience; flexibility to apply skills to new products, issues and legislation.
- Strong time management, practical solution orientation, and a track record of excellent client service.
- Team player with enthusiasm for contributing to the broader legal team and mentoring junior lawyers.
- Ability to build effective working relationships with colleagues, business units and functional teams.
- Current Australian practicing certificate or ability to obtain one by start date.

Preferred Skills and Exposure

- Experience in transactional business banking, payments platforms and corporate credit cards.
- Experience working across borders in a multinational environment; NZ legal experience is preferred.
