To support ENGIE's growth, we are seeking for a Head of AIFA (Acquisitions, Investments and Financial Advisory) to lead the AIFA team located in Melbourne, Australia.

The role is accountable to the Head of AIFA APAC and the role can be worked flexibly between home and our new office in Southbank.

Acquisitions, Investments and Financial Advisory (“AIFA”) is a global and fast-paced group that is closely involved in major & structural transactions including strategic initiatives. The team is responsible for the structuring, execution and valuation of investment projects, project financing, acquisitions and divestments.

**Role Purpose**
- Lead and manage the ANZ AIFA team of 4+ financial professionals to provide structuring, financing, execution and valuation of investment, acquisitions and divestments
- Co-ordinate and ensure that financial models, financial analysis, valuation and risk analysis of projects is undertaken in consistent and timely manner, in line with Group methodology.
- Responsible for the co-ordination and organisation of external financing relationships (Banks, Advisors, Equity)
- Prepare financing plans, select funding sources/banks, structure and execute project financings.
- Responsible for organisation and co-ordination of non-project related AIFA activities (e.g. annual impairment tests, lookbacks, etc).
- The role involves working with any of the 4 Global Business Units (GBUs) (Renewables, Thermal & Supply, Energy Solutions and Networks), in the Australian and APAC perimeter if required.

**Responsibilities**
- Ensuring the AIFA team is appropriately allocated and supported on various projects/tasks.
- Performance management and development of the AIFA ANZ team, identifying development areas and implementing plans to achieve development and performance goals.
- Ensure consistent approach across files, share files and learnings to facilitate sharing of experience across projects within the APAC/AMEA perimeter.
- Ability to lead and co-ordinate M&A and Greenfield investment processes.
- Select and appoint buy & sell side M&A Advisor, negotiating terms & conditions, and fees, jointly with BD and/or Group M&A, co-lead M&A projects in all their aspects (multi-disciplinary team co-ordination/management)
- Select and appoint banks providing financing (launch RFPs and evaluate proposals, negotiate terms and conditions of mandates, attribute bank titles and roles).
- Define the most appropriate financing sources (capital market, local/foreign, commercial/development bank) and structure.
- Negotiate terms and conditions of financing contracts/instruments (economical and contractual), review, draft/comment financing contracts, pledges, security package, corporate guarantees).
- Review and contribute to the drafting of all transaction documents/contracts (SPA, SHA, off-take and supply contracts) from the point of view of economical robustness, financability/bankability, risk allocation, accounting, consolidation, tax, partnership
- Reach financial closing (make the funds available to execute the transaction).
- Perform valuation in line with ENGIE guidelines, ensuring valuation methodology adherence making recommendations on transaction terms and conditions, which meet or exceed ENGIE group standards
- Assess exposure to financial/economical risks (FX, interest rates, commodities) across all aspects of the projects (commercial contracts, construction contracts, financial contracts, investment agreements / SPA / SHA,) and devise an appropriate mitigation strategy in coordination with internal (risk desk) and external experts (banks/others) such as interest rate swaps, forwards, options, contingent hedges, ad hoc contractual arrangements,
- Ensure co-ordination of valuation, tax, accounting, reporting, financing matters across all aspects of projects.
- Oversee and review financial input of investment files ensuring that the AIFA and Finance stakeholders have been notified and informed, anticipating and seeking alignment key issues ahead of formal committees
- Lead and support partnership/consortium discussions (assessment of partners, negotiation of partnership term sheet/contracts, governance, investment structure, value creation, return differentiation)
- Establish and maintain a healthy and broad relationship network with financing institutions, equity partners and advisors.
- Provide input and a financial perspective to the strategic considerations of the GBUs in Australia

**About You**
- At least 8-15 years' experience in infrastructure projects development/investment, and an excellent track record in team management
- Experienced in the electricity and infrastructure/Energy Markets
- Experienced with leading and managing a team, with a strong motivation to develop people
- Strong base in project and corporate finance, equity and debt capital markets, deal structuring, M&A and valuation. Good understanding of
