Non-Executive Board Director Positions

Freshcare is an industry-led, not-for-profit organisation established 25 years ago to provide assurance programs which enhance the market access of Australian fresh produce and wine grapes. Additionally, Freshcare supports the sustainability of viticulture and wine making industries through our certification programs.

Freshcare's purpose is to ensure our best-practice standards and services meet the industries' needs now, and for the future, to safeguard Australian producers and industry. Through collaboration with industry leaders, peak bodies and government stakeholders, Freshcare continues to execute its Strategic Vision 2030, building industry capacity through innovation and leadership.

Freshcare seeks nominations for Board Directors with sound knowledge of the Australian fresh produce and/or wine industry. Expertise in technology, IT strategy and finance is a priority, with experience in NFP governance, business management, or the government and financial sector also highly regarded.

Three (3) x three-year terms are available for appointment.

• Experience as a director and/or reporting to a Board.
• Currently working within or a sound knowledge of the Australian fresh produce and/or wine industry.
• Horticulture, viticulture or agriculture production, distribution and/or marketing.
• Quality and food safety systems in the horticulture, viticulture or agriculture supply chain.
• Food safety or environmental policy.
• Experience in governance and financial management.
• Experience in non-profit governance or compliance (preferred but not essential).
• AICD Company Directors Course or equivalent governance qualification (preferred but not essential).
• Networks useful to the development and growth of Freshcare Limited.

The Board plays a key role in the governance of the organisation, serving as the guardian of the organisation's strategic vision and values while ensuring compliance and effective risk management.

As a Board member you will be responsible for:

• Organisational adherence to our constitution.
• Supporting the development and execution of the Strategic Plan 2030.
• Maintaining compliance with relevant statutory laws and regulations.
• Ensuring strong financial management of our finances.
• Supporting programs through direct involvement, fundraising and ambassadorship.
• Consistent attendance and active engagement at Board meetings.
• Timely engagement with online communications.
• Sharing your knowledge and insights with the Board and Chief Executive Officer and the Management Team.

Skills and experience to contribute to a Board, particularly addressing your experience, or transferable skills in those areas of capability outlined above.

Capacity to make complex decisions within a group context, including when opinions differ.

Effectiveness as a team member.

Motivation to be a Board Member of Freshcare Limited.

Must hold or obtain a Director Identification Number (DIN) as required by ASIC.

The Board meets quarterly usually on the second Tuesday of the month at 10:00am (Sydney/Canberra/Melbourne time) twice via an online platform and twice in person each year.

Board members must attend most meetings and contribute additional time to other activities including pre-reading, sub-committee meetings, out-of-session meetings, community events, organisational activities etc.

A sitting fee plus expenses are reimbursed to attend Board meetings.

A resume of no more than two (2) pages should also be included, along with the contact details of two (2) referees.
