Position: Capital Markets Associate Attorney

Overview: We are seeking a highly skilled and motivated Capital Markets Associate Attorney to join our prestigious law firm in the Southeast. The ideal candidate will have a strong background in capital markets and securities law, with 2-4 years of experience at a large law firm. This is an excellent opportunity to work with sophisticated capital markets practice and collaborate with a dynamic team of attorneys.

Responsibilities:

• Advise clients on a wide range of capital markets transactions, including registered and Rule 144A/Reg S offerings of investment grade and high-yield debt, convertible debt, equity offerings, PIPE transactions, ATM offerings, initial public offerings (IPOs), price placements, and liability management transactions.
• Conduct due diligence, draft transactional documents, and negotiate agreements related to capital markets transactions.
• Assist clients in navigating securities laws, regulations, and compliance issues.
• Collaborate with internal and external teams, including investment bankers, underwriters, and other legal professionals, to ensure successful execution of transactions.
• Conduct legal research and stay updated on relevant legal and regulatory developments in the capital markets and securities field.
• Provide legal advice and guidance to clients regarding corporate governance, disclosure requirements, and shareholder relations.

Qualifications:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the Bar in the relevant jurisdiction.
• 2-4 years of experience in a large law firm with a focus on capital markets and securities law.
• Strong academic record, including high grades in relevant coursework.
• Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly and effectively.
• Demonstrated experience in advising clients on capital markets transactions, including familiarity with drafting and negotiating transactional documents.
• Strong analytical and problem-solving skills, with the ability to think critically and provide practical legal solutions.
• Ability to work independently as well as collaboratively in a fast-paced, deadline-driven environment.
• Exceptional attention to detail and organizational skills.
