Role summary
We are looking for a qualified lawyer with PQE of 4-5 years to be part of our commercial team. This is an opportunity for a talented and ambitious individual to take their career in a new direction which will see you working with leading mining clients on complex contracts, helping dealership team manage dealers' engagements and participating in developing governance framework, risk related documents, policies and procedures for a business that is on an aggressive growth trajectory. Our ideal candidate will have law firm experience of 2-3 years or in-house experience of 4-5 years, and will be comfortable in taking initiative, working with minimal supervision and direction. This will be a full-time role with travel within Australia and internationally as and when required.
Contract development and management
Draft, negotiate and manage contracts including governance, risk, performance and contract management.
Draft, negotiate and manage MOUs, NDAs, sales contracts etc including risk assessment and management
Help internal departments develop standard operating procedures and management plan.
Develop a contract register and monitor contract deliverables for major sales contracts
Develop a company risk register with finance team and assign individual risk ownership to department heads
Monitors, evaluates and reports on risk and contract performance against KPIs and requirements, and implements strategies to drive risk reduction outcomes.
Explores innovative contract management solutions to solve complex contractual issues.
Develop template contracts for business use.
Advice on contract variations, exemptions, extensions, expiry and transition management, making appropriate decisions based on risk.
Related Requirements:
A recognized law degree and a diploma from an Australian institution. Candidates with law education from US and Canada will also be considered.
Demonstrated experience working in a law firm dealing with commercial and contractual matters related to construction, mining, commerce law and dispute management
Comfortable taking input from engineering, technical, maintenance and sales to develop bespoke contract terms
Considerable experience in high-risk contract development and/or management.
Strong communication skills, with the ability to prepare complex contractual documents, and communicate effectively to a range of stakeholders.
Demonstrated research, analytical and conceptual skills to optimize business outcomes and solve complex problems.
Experience working in a law firm that specializes in construction and mining commercial matters.
Exposure to complex NDAs, MOUs, partnership agreements and Joint Ventures.
Exposure to contemporary IP issues, data storage and transfer, and FIRB.
