Role Purpose

The Chief Financial Officer & Company Secretary is responsible for the overall financial management and leadership, governance, and statutory compliance of the Group.  This leadership role requires involvement in the development and implementation of the Group's strategy.

The duties and responsibilities of Company Secretary are to be fulfilled as required under the Corporations Act 2001 (Cth) and ASX Listing Rules.

In addition, the role has executive oversight of IT and HR, ensuring the Company has robust systems, policies, security, capability and people processes that support operational efficiency and organisational growth.

Reward

On Target Earnings $230,000 - $260,000 depending on experience

Accountabilities

i) Finance Management & Analysis; Strategy

  • Lead the global finance team in the delivery of internal and external (as relevant) monthly, quarterly, half yearly and annual financial reports, ensuring accuracy, integrity and compliance with AASB/IFRS.
  • Oversee the Group's financial strategy, budgets, forecasts, and long-term planning and ensuring the efficient use of the Group's resources.
  • Manage cash flow, treasury, banking relationships and the overall capital structure of the Group.
  • Provide clear financial insights to the CEO and Board on business performance, financial and commercial risks, funding needs and commercial opportunities.
  • Promote effective consultancy and advisory service to the executive team (as appropriate) across all aspects of the business (incl. manufacturing, outsourcing, commercial, R&D)
  • Contribute in a meaningful and relevant manner in the development of the Group's strategy and in its adaption in response to emerging insights.

ii) Statutory Reporting & Compliance

  • Manage all ASX and ASIC reporting obligations, including periodic reports, financial statements and corporate disclosures.
  • Ensure timely and accurate submissions of ASX filings, tax filings and any other relevant filings required by laws and regulations.
  • Oversee external audit processes and the relationship with auditors.

iii) Governance and Company Secretarial

  • Work with the CEO and Board to ensure sound corporate governance and that all obligations under the Corporations Act and ASX continuous disclosure requirements are met.
  • Provide governance support to the Board and its committees, including preparation of agendas, papers, minutes and resolutions.
  • Support the CEO and Board with shareholder meeting processes, shareholder communications and regulatory liaison.

iv) Capital & Funding Activities

  • Support capital raising initiatives (equity and debt), including preparation of documentation, valuation modelling, investor materials and compliance with ASX Listing Rules. Attend investors meeting as required.
  • Manage treasury and banking relationships and ensure appropriate liquidity and debt management settings are in place.

v) Risk Management

  • Champions the Group's risk management process and oversees reporting on identification and management of risks in accordance with the Group risk framework and risk management policy.
  • Coordinate Risk & Audit Committee reporting

vi) IT

  • Oversee the Company's IT environment and systems
  • Ensure business systems (e.g., ERP, CRM) are in place that align with operational needs and that they are effectively used (to the extent that they relate to the responsibilities of the is role).

vii) HR

  • Oversee payroll function, HR processes and compliance including employment contracts, onboarding, performance management, payroll alignment and workplace relations.
  • Support talent management and workforce planning, including development, training and succession where needed.

viii) Other

  • Mentor direct reports and develops the skills of personnel
  • Remain abreast of trends, opportunities and changing legislation that affects the organisation
  • Perform other duties assigned by the CEO

Experience & Qualifications

  • Senior finance leadership experience, ideally within an ASX-listed or multi-national private company, with manufacturing or FMCG experience highly regarded
  • Strong technical grounding in IFRS and Australian Accounting Standards, with the ability to apply these standards in practical, commercial settings.
  • Strong understanding of ASX Listing Rules, corporate governance, the Corporations Act and financial reporting frameworks.
  • Proven capability in financial strategy, capital raising, corporate governance and stakeholder management with senior leaders and Boards
  • Experience overseeing IT systems, ERP/CRM platforms or outsourced IT support providers.
  • Experience overseeing HR or people operations, including policy, compliance, and workforce support.
  • CA/CPA qualification essential; MBA, governance accreditation (AICD or GIA) is highly regarded.
