Description
Reporting to the General Counsel - Corporate & Customer Transactions, this is an opportunity on a 12-month max term basis (open to both full-time and part-time (4-day/week or 9-day/fortnight)) to cover a parental leave period to work closely with the business and advise on a wide range of challenging corporate/commercial matters including:
general commercial transactions, issues and disputestower access terms and related arrangementsupstream (customer facing) and downstream (supplier facing) services agreementscorporate finance and transactions concerning the group's asset/property portfolioproperty, asset and corporate acquisitions (including new business lines)long term site leasing and licensingnew business opportunities and innovationgovernmental, compliance, risk and regulatory matters affecting the groupKey responsibilities will include:
1. Delivery of timely practical, commercial advice on a wide range of legal and commercial issues affecting the company and its portfolio such as in relation to:
a. Customer contracts: including existing and new customer site access arrangements (long and short term)
b. Services: including upstream and downstream services agreements, construction and subcontracting matters, partnering and joint venture arrangements
c. Acquisitions (including multi-site/portfolio and mergers): carriage and project management of deals; due diligence; drafting, negotiation and documentation of sale agreements; execution and completion of sales; and assisting with post-close integration issues
d. Regulatory and compliance issues: relating to the company's portfolio and business, including under trade practices, telecommunications, environmental and planning and OH&S laws (including relevant state regimes)
e. Submissions: to governmental authorities.
f. Corporate finance: including as regards capital structure, corporate governance
g. New business projects: including bids, tenders, property management agreements etc.
2. Managing external/interstate counsel and liaising/negotiating with counterparty solicitors.
3. Developing and implementing processes for the company's contracting and risk management systems and contribution to knowledge management systems
4. Managing enquiries and issues as they arise on day-to-day business operations and the company's existing commercial, customer and property arrangements
5. Managing disputes/litigation to successful resolution where possible
6. Legal support to senior management, including on legislative developments affecting the group
7. Implementing general compliance measures (including Sarbanes-Oxley and Corporations Act) as they affect Legal
8. Championing lessons learned and continuous improvement, including better use of technology
Skills And Experiences
To be successful in this role you will have the following:
Skills:
• The ability to quickly understand the commercial, operating, risk and opportunity drivers of the Indara business
• Strong stakeholder management and partnering skills (including the executive leadership team) and ability to translate and simplify complex legal concepts for ease of use in business

• Practicing certificate and appropriate tertiary qualifications from recognised university
• Minimum 7+ years PQE
• Law firm experience, together with experience working in-house in a reputable company is preferred
• Strong transactional experience in commercial, drafting, negotiating and contracting
• Experience in negotiating service contracts (upstream and downstream)
• Experience in commercial property and/or corporate law
• Experience in drafting Master Access Agreements (original and variations) is desirable
• Experience in mergers and acquisitions, setting up and overseeing agreements (e.g.: Tower Transfer Agreement) is desirable
• experience in managing disputes including debt recovery is desirable
• Exposure to telecommunications and technology sectors and planning law is desirable.
