Our Client

Our client is an organization in the oil and gas industry, with a strategic focus on LNG business and operations in a challenging environment in Papua New Guinea. This includes facing permanent challenges related to project, country, security, and partnerships, as well as high challenges concerning communities, social and economic development, biodiversity, and the environment.

Scope

The Senior Legal Counsel reports to the General Counsel and provides legal support across various areas. The role involves legal and statutory management and governance for the company's entities in Papua New Guinea. The position is responsible for minimizing the company's legal and financial exposure and ensuring that legal policies are known and applied at all levels. The Senior Legal Counsel will also be expected to assume independent control of matters commensurate with their experience. The position has no direct reports.

Key Responsibilities

Legal Counsel and Support
:

  • Provide legal support on matters related to joint ventures and the licensing process.
  • Provide legal advice on disputes and assist in defending the company's interests in courts or arbitration tribunals.
  • Assist the contracts and procurement team throughout the tendering process.
  • Prepare legal opinions and provide assistance to internal clients.
  • Provide support to other business areas, including environment, social, lands, HSE, operations, and business development teams.

Compliance and Governance
:

  • Ensure all legal division activities comply with HSE policies, the Code of Conduct, and internal directives.
  • Manage permitting registers for company projects and advise on related legal queries.
  • Ensure corporate compliance and protect the company's interests and corporate image.
  • Ensure that national and local laws and regulations are properly implemented.
  • Coordinate legal activities with headquarters in France and Singapore.
  • Manage the annual regulatory review stream.

Mentoring and Oversight
:

  • Provide mentoring support to local legal counsel.
  • Provide oversight of external legal counsel.
  • Train local legal counsel.

Qualifications

  • PNG University degree in Law or an overseas equivalent. Must hold a current practicing certificate.
  • 10+ years of legal experience, preferably with an international law firm or within the Oil & Gas industry.
  • Experience in landowner issues and environmental matters, or experience in Papua New Guinea, is preferred but not essential.
  • Extensive knowledge of exploration and production/energy law, and general commercial and corporate law.
  • Excellent English skills.
