The Senior Transaction Counsel APAC serves as the corporate and transaction counsel by advising (in conjunction with outside counsel) business leaders and deal teams on legal aspects of a broad range of business, transactional, corporate and deal matters that arise across all divisions of Gordon Brothers APAC.
Gordon Brothers APAC business activity includes (i) asset-based lending, leasing and equipment finance; (ii) commercial and industrial equipment/asset acquisitions and disposals; (iii) valuations and other asset advisory services; and (iv) sales agency/disposition agent activity, in each case across multiple sectors, assets classes and APAC jurisdictions.
The Senior Legal Counsel, APAC reports directly to - Managing Director, Lead Transaction Counsel, EMEA & APAC (who is based in London, UK) and has dotted line reporting to Senior Managing Director, Head of Asia Pacific (who is based in Sydney, Australia).
Specifically, the role serves as the Gordon Brothers' APAC, corporate and transaction counsel supporting: (i) corporate functions (e.g., entity administration, company secretarial, compliance, litigation and corporate governance, and corporate documentation such as engagement letters, NDAs, leases, service and supply agreements etc.); (ii) deal teams on transaction structuring and legal strategy; (iii) deal teams (in conjunction with outside counsel) with legal transaction due diligence, documentation and execution; and (iv) Gordon Brothers APAC offices and divisions where counterparty bankruptcy, insolvency or out-of-court restructuring is a consideration.
The incumbent uses superior judgment, reports to, and works closely and seamlessly with, Managing Director, Lead Transaction Counsel, EMEA & APAC and APAC deal teams with personnel of all levels on transactions, and identifies and resolves issues as needed to minimize overall risk to the organization. The successful candidate can look forward to developing a keen understanding of the Gordon Brothers APAC business and playing a key role in Gordon Brothers APAC's continuing success.
Participates in APAC transactions as a core member of the deal team. Works with the deal teams to manage outside legal counsel undertaking legal transaction due diligence. Together with the deal team and outside counsel, prepare, review and negotiate to conclusion primary and ancillary legal documentation for lending, acquisition, commercial and disposal transactions. Provides training to APAC business leaders and deal teams on key legal topics. Represents Gordon Brothers APAC as needed at client meetings. Represents Gordon Brothers APAC at industry events, both as a speaker, moderator and attendee. Maintains and manages a network of outside counsel.
As a member of the Global Legal Department, supports General Counsel, Chief Compliance Officer in maintaining an APAC compliance program. Acts as compliance officer in APAC for KYC/AML. Maintains legal responsibility for post-deal matters. Attends transaction Investment Committees and In Flight Review Committees to provide commentary and input on insolvency, legal structuring, diligence and documentation issues.
NOTE: Role requires ability to travel (within Australia, New Zealand and APAC) as needed (approximately 15-20% of time) for deals, client meetings and/or business development. Occasional travel to Boston, US and London, UK.
Education & Experience
- At least 6 to 8 years PQE aggregate private practice and in-house experience with a minimum of 6 years of law firm PQE. Prior in-house experience not required.
- Insolvency and restructuring experience required.
- Finance, in particular ABL, complex M&A and/or litigation experience is a plus.
- Australian law qualification required. Additional qualification in Singapore or New Zealand is a plus.
- Experience of transactions in any of New Zealand, Singapore, Hong Kong, Malaysia, Vietnam, Philippines or Indonesia is a plus.
Knowledge, Skills & Abilities
- Experience with complex commercial and business transactions (including leading on transaction structuring, contract drafting and negotiations).
- Must be able to demonstrate cross-border/multi-jurisdictional transactional experience.
- Sophisticated business and financial acumen. Demonstrated ability to quickly assimilate complex information from multiple streams of work and engage in constructive dialogue with business leaders in real-time.
- Exceptional, out-of-the-box thinker with astute commercial sense who thrives in a dynamic, entrepreneurial and transaction-driven business.
- Track record of balancing legal and business considerations, multi-tasking, problem-solving and operating in fast-paced and rapid growth environments.
- Able to leverage the transactional rigor obtained in a prior law firm practice but willing to step outside of the traditional lawyer-client dynamic, work in direct contact with the business, and be part of business solutions.
- Committed, collaborative, communicative, dependable and reliable team player.
- Strong listening skills and an ability to communicate pragmatically, clearly and decisively.
- Able to manage multiple projects, work under pressure, establish priorities and focus on detailed information.
