We are seeking an experienced Company Secretary to join our friendly in-house legal team. Reporting to the General Counsel, this is a fantastic opportunity to work within a large and complex national operation.
Working closely with the Board, CEO and senior executives of Goodstart, the Company Secretary will perform a broad range of secretarial functions to support the Board to meet governance, statutory and regulatory requirements.

**Key responsibilities**:
Acting as Company Secretary for Goodstart Early Learning Ltd and subsidiary organisations.
Oversight of the operations of the Board of Goodstart, supporting Directors to effectively discharge their responsibilities.
Maintaining and updating ASIC and ACNC records including lodging of annual returns or filings in the ordinary course of business.
Strong management and coordination of all Board processes such as Board and Committee meetings and papers, circulation of agendas, minutes, business arising, board packs, circular resolutions and circulation of out of session material.
Working collaboratively with senior executives and the CEO on the preparation of meeting papers and completion of actions.
Management and maintenance of the necessary company registers.
Appropriately discharging the constitutional requirements of the Board, including, but not limited to the management, member notification, and holding of special and annual general meetings.
Helping to organise and facilitate the recruitment, election and induction of Directors.
Providing or obtaining advice for Directors and Executive regarding constitutional and governance matters.
Provide proactive support to the Board of Directors and perform additional secretariat tasks as required.

**You’ll bring to the table**:
You will have a tertiary qualification in Law, Corporate Governance, Business Administration, Finance or a related field ideally with a relevant post-graduate qualification in corporate governance.
You must have at least 5 years’ experience as a Company Secretary.
Experience working with Boards and senior management.
Sound knowledge of the legislative framework surrounding legal obligations of the role
Excellent communication and stakeholder management skills
Detail orientated.
