**About the role**
We are currently seeking a Company Secretary to join QIC’s Corporate Secretariat & Governance team based in Brisbane on a permanent, open term basis.
The Company Secretary will play a pivotal role in supporting a governance framework that upholds integrity, flexibility, and alignment with internal and external expectations, driving strategic initiatives, ensuring compliance, and enhancing governance practices across a dynamic organisation.

This is a new role and working with the Executive Director, Corporate Secretariat & Governance, the key accountabilities include assisting the Corporate Secretariat team to:
- Serve as Secretary for Board, Committee, Management, and product-specific meetings (e.g., unitholder meetings), including arranging, attending, and recording minutes.
- Facilitate the preparation and distribution of meeting papers and assist with internal management forums.
- Provide trusted, independent advice to directors on governance matters, fiduciary obligations, and legal implications of decisions in line with constitutions and applicable laws.
- Act as a liaison between shareholding Ministers and non-executive Directors.
- Ensure boards have resources and advice for effective corporate governance.
- Maintain corporate records and oversee regulatory filings (e.g., ASIC and equivalents).
- Ensure reporting frameworks and arrangements enhance the structure, activities, and effectiveness of the Board and management committees.
- Undertake statutory company secretary duties as required, including acting on behalf of the Executive Director, Corporate Secretariat & Governance.
- Carry out other responsibilities assigned by the Board, CEO, or Executive Committee.
**About you**
You will be a highly organised and experienced governance professional with a strong background in corporate secretarial functions and a passion for upholding best practices in corporate governance. You will have:
- Tertiary qualifications in Business or Law, with at least 8 years of post-qualification experience in financial services or funds management.
- Expertise in corporate governance, with a deep understanding of national and, ideally, international legislative and regulatory environments.
- Proven ability to mentor and lead high-performing teams, fostering collaboration and knowledge-sharing across divisions.
- Skilled at managing corporate reporting and policy requirements, ensuring compliance and alignment with organisational goals.
- Strong commercial problem-solving capabilities, including issue identification, options analysis, and sound judgment to determine optimal outcomes that satisfy both legal and business needs.
- Exceptional ability to influence and negotiate with internal and external stakeholders, demonstrating empathy and strategic thinking to achieve mutually beneficial outcomes.
- Solution-oriented, with a focus on delivering practical, commercially viable results in a fast-paced environment.
