Our Global Legal, Compliance and Regulatory (GLCR) team provides first class advice to colleagues and functions across the organization - ensuring AIG navigates an ever-changing landscape that spans state, federal, and international lines. The team has a multi-dimensional impact, from helping avoid legal exposure to collaborating with other functions to develop cutting-edge new products.
**How you will create an impact**
AIG Australia’s legal team includes the company secretarial function and consists of four qualified lawyers: all located in either Sydney or Melbourne. You will be part of a specialised team which provides end to end legal support for the business on all legal and regulatory matters affecting AIG Australia. The opportunity on offer is to join an experienced team to take on a key role in supporting the secretariat, governance and legal service requirements of our business.
In the role, you will be based in either Sydney or Melbourne and report to the General Counsel, based in Sydney. You will work closely with the business across Australia and globally. In addition, the team forms part of the Pacific legal function so also helps support the legal needs of AIG New Zealand, where required. The team thrives on a pro-active and solution-focussed legal services engagement model dedicated to achieving team and client outcomes and your experience will be invaluable in this regard.
The focus of the role is to support the secretariat and governance functions of AIG Australia but requires an inherent flexibility to handle other legal tasks that may arise within AIG Australia’s business, including regulatory, product and distribution-related matters and other general legal tasks.
Key accountabilities will include:
- Day to day management of the company secretariat function including accurately recoding minutes of Board and committee meetings, tracking of actions, maintenance of statutory registers and regulatory filings. Administration and enhancement of effective Board processes and good governance practices. Acting as a key point of contact between the Board, executive management and external stakeholders.
- Product review and advice work comprising policy wordings, policy schedules and endorsements and advice and drafting of supporting distribution arrangements such as via binder agreements and other distribution agreements.
- Advising on a variety of legal, secretariat and governance matters including compliance with insurance law and regulatory matters such as those arising under the Corporations Act, Insurance Contracts Act and relevant APRA Prudential Standards.
- Contribute to creating and enhancing internal legal and governance processes.
- Instructing and working closely with external counsel and engagement with regional and global AIG counterparts, where required.
- Reviewing and providing sign off on collateral, communications, disclaimers and legal notices.
**What you’ll need for the role**
- Demonstrated experience in a company secretarial role, ideally with broader governance focus in financial services.
- Knowledge and understanding of general insurance law and regulatory compliance, with proven post-qualified senior legal experience gained either in-house or in a law firm.
- Excellent time management, organisational, written and verbal communication skills, capable of simplifying complex legal and regulatory requirements into actionable advice.
- Strong attention to detail, sound judgment and problem-solving skills.
- Ability to build relationships and work with a range of range of (internal and external) stakeholders.
- Ability to work collaboratively and independently and to deadlines.
- A willingness to be involved in a variety of matters and an enthusiasm for working in a fast-paced environment.
- Degree and/or Tertiary qualification in law with an Australian practicing certificate.
- Ability to deal with confidential information appropriately and recognition of the importance of proper record-keeping.
- Ability to keep abreast of changes in relevant legislation, regulation and caselaw and willingness to focus on and develop excellent drafting skills.
Solid understanding
- General insurance concepts, laws and regulation
- Prudential requirements applicable to general insurers, particularly as regards governance
- Contract law and Australian Privacy law including APPs
