Your opportunity:
We have an opportunity available for a Company Secretary to join our team in Melbourne. Reporting to the General Counsel, you will provide all the necessary professional corporate secretarial and governance support and guidance needed across AIA Australia and AIA Health. You’ll be able to provide strategic and operational support on a full range of governance matters to help us achieve our business goals.
Furthermore, you will primarily be responsible for supporting the efficient administration and management of the Board of Directors, Board Committees and Shareholder forums. In return you will have the opportunity to work as part of the broader legal, regulatory and co sec teams at AIA and lead one direct report.
To do this successfully you will be responsible for:
- Convene Board and Board Committees of each Australian subsidiary.
- Maintain general oversight and input into management risk committees.
- Organise and prepare directors, executive and other senior management for Board and Committee meetings.
- Be responsible for the smooth conduct of all Board, and Board Committee meetings.
- Maintain all legally required company secretarial books and regulatory filings, including minute books, share register, register of directors and officers and register of responsible persons.
- Implement and keep updated Board and Committee Charters, policies and procedures, which are required by law or under good governance practices.
- Drawing up and maintaining Corporate Calendar of meetings, filing dates and other corporate governance key dates.
- Liaison with Group Office on board and corporate governance matters.
- Maintaining all external corporate secretarial and governance registers and filings with APRA, ASIC and other regulators.
- Ensuring compliance with all APRA and ASIC corporate secretarial and governance requirements, including fit & proper requirements of directors’ officers and responsible persons
- Lead one direct report.
- Relevant qualifications and/or be a qualified company secretary.
- Demonstrated and practical experience in a Company Secretarial, Legal, or Executive Assistant function in a corporate environment, with experience in dealing with Directors and Executives in an organisation of similar scale.
- Experience working in financial services/insurance sector with a functional reporting structure.
- Strong stakeholder management skills, with an ability to work with a diverse range of personnel operating at a senior level across multiple locations.
- The ability to negotiate acceptable outcomes.
- Sound judgment and decision-making ability.
- Ability to deal with Directors, executives and other senior management on complex issues.
- A high level of commercial awareness.
- Exceptional attention to detail.
- A solid understanding of corporate governance requirements.
- Excellent verbal and written communication skills.
