Located in the Sydney CBD, MillerPrince is a specialist Australian corporate and commercial law firm founded by a group of lawyers dedicated to providing a full legal service offering to corporates throughout Australia.

**About the role**

Our corporate team is looking to recruit an Associate with 2-5 years PAE who can assist with high level stimulating corporate work. The team acts for a range of corporates such as private equity funds, family offices and businesses (small, medium and large). You will also have the opportunity to work closely with the principals. Some of the work the team currently undertakes includes:

- mergers and acquisitions, including preparing due diligence reports, negotiating and advising on term sheets/heads of agreement, share sale/purchase agreements, shareholder/unitholder deeds, deeds of release, other ancillary transaction documents and corporate resolutions;
- capital raising, including negotiating and advising on term sheets/heads of agreement, negotiating share subscription agreements and shareholder agreements etc.;
- general corporate advisory; and
- corporate structuring and restructuring.

**Skills and experience**

To be successful in this role you will have:

- 2 to 5 years’ legal experience PAE;
- high attention to detail;
- experience with M&A and related transactions;
- ability to work autonomously and in a team environment;
- ability to manage multiple tasks simultaneously;
- ability to think commercially, laterally and creatively;
- commercial and corporate experience;
- excellent drafting skills;
- ability to work under pressure;
- dedication to providing excellence in client services;
- excellent written and verbal communication skills;
- flexible approach to clients and colleagues;
- capacity to be self-managed and be self-motivated;
- solid academic background; and
- willingness to mentor and lead junior staff.
