**The opportunity**
We’re all here to help deliver great retirement outcomes for our members. In this role you will be accountable for ensuring that the Board and its sub-committees and select executive committees receive all the company secretariat support they need to discharge their fiduciary duties. Besides, you will supervise Management and ensure that UniSuper is acting in the best interests of its members when making significant decisions at board or committee level.
This role leads the team which have end to end responsibility that all Board and committee meetings are well organised, run smoothly and are supported by timely papers which have been prepared in line with UniSuper’s protocols and style and recorded in well-prepared minutes in line with best practice. Additionally, this role will ensure that responsible persons are aware of, and effectively manage, their obligations in relation to conflicts of interest and to be fit-and-proper persons.
In addition to this, you will:
- Act and Company Secretary for the fund trustee, UniSuper Ltd ( **USL **) and UniSuper Management Pty Ltd ( **USM **) and such committees and subsidiaries as may be necessary.
- Carry out all company secretary and officer’s duties as set out in the Corporations Act.
- Ensure company secretariat support for Board and committee meetings, including preparing the annual schedule of Board and committee meetings and all meeting agendas, and managing the collation and distribution of all meeting packs.
- Working closely with the Board Chair, the CEO and CRO on board and governance matters.
- Adviser to the Board on relevant secretarial, procedural and governance matters.
- Provide company secretariat support in connection with Board and Consultative Committee meeting and elections, including managing the nomination, election, and appointment processes
- Provide secretariat support in connection with UniSuper Limited’s AGM.
- Provide company secretariat support in connection with APRA fit-and-proper requirements
- Ensure secretariat support in connection with managing conflicts of interest, including maintaining UniSuper’s registers of relevant interests and attending to relevant reporting, attestation and education initiatives
- Provide induction support for newly elected directors.
- Provide secretariat support for certain Executive committees.
- Assist with the implementation of the FAR legislation.
- Manage the Board Policy register through the GRC system.
**What capabilities will set you up for success**
We are looking for an individual who has worked in a fast-moving transformation environment and is comfortable working with a degree of ambiguity.
Besides, you will bring:
- Company secretarial experience, preferably in an APRA regulated entity
- Relevant company secretarial accreditation (Governance Institute favourably considered)
- Business degree or Law degree
- Organisational and time management skills
- Advanced communication skills, both written and verbal
- Attention to detail and procedural requirements
- Excellent stakeholder relationship skills
- Commercial acumen, ethics and integrity
- Ability to deal with board members and executive management.
