Senior Corporate Counsel Role

The Senior Corporate Counsel is a key position responsible for providing legal advice and counsel to management and subject matter experts on various matters. This role involves conducting research and analysis, writing opinions and memoranda, and working directly with clients under supervision.

Job Summary

This senior-level attorney will provide expertise and counsel to internal staff on legal matters within areas of specialization. The ideal candidate will have a strong understanding of complex legal concepts and be able to effectively communicate with non-lawyer clients.

Main Responsibilities
  • Provide expertise and counsel to internal staff on legal matters within areas of specialization.
  • Review, analyze, edit, and draft vendor contracts and agreements as assigned.
  • Anticipate legal issues and identify proactive solutions to mitigate risks to the organization.
  • Research, perform legal analysis, and write memoranda on issues affecting the organization in its banking and corporate capacities.
  • Stay current with laws, statutes, and regulations affecting the organization.
  • Perform additional duties and special projects in a timely and accurate manner.
  • Represent the organization in working groups, hearings, and management committees to ensure effective representation of the organization's interests.
  • Ensure compliance with policies, procedures, and regulations for safe and sound business operations.
Required Experience
  • Law degree with a license to practice in Pennsylvania.
  • At least 5 years of experience in a law firm or corporate environment.
  • At least 2 years of experience working with regulatory agencies (federal or state).
  • At least 2 years of experience working in a corporate environment handling complex legal matters with management.
  • Working knowledge of one or more areas of the organization and applicable legal principles: banking, commercial transactions, vendor agreements, general corporate, disclosures, reporting, capital markets, privacy, data management, financial services, and/or financial institutions.
  • Basic knowledge of capital markets, real estate, financial analysis, economics, accounting principles, or financial statements is desired.
  • Routine management oversight is required.
  • Understanding of or experience working in a regulated industry (banking, mortgage banking, real estate, or financial services insurance) is preferred.
Additional Success Factors/Experience
  • Provides advice and counsel to management on complex legal matters, including vendor contracts, data privacy, and security issues.
  • Reviews, analyzes, and negotiates vendor agreements, leases, contracts, and other agreements; handles general matters.
  • Serves as one of the organization's primary attorneys for complex IT contracts, including data privacy and security requirements and vendor management.
  • Working knowledge of complex IT contracting, including cloud, data privacy, and security, is desired.
  • Knowledge of procurement processes and vendor risk management is desired.
