About the Role

We are seeking a highly skilled governance professional to provide support and guidance on corporate governance and regulatory compliance matters. Reporting to the Chief Legal Officer and Company Secretary, you will support the Company Secretary function to meet the organisation's corporate governance and regulatory requirements.

Key Responsibilities

  • Maintain and uplift the Board governance framework, including reviewing and updating policies, procedures, registers, and supporting documentation.
  • Monitor the evolution of the corporate governance landscape.
  • Maintain the member register.
  • Advise on governance-related matters.
  • Ensure statutory and regulatory compliance.
  • Provide company secretarial and governance support to the Board, Board Committee, and Executive Management Committee.
  • Draft high-quality papers and reports.
  • Assist with Board governance workplan activity, including the Board performance review processes, Board skills analysis, and the Board professional development program.
  • Provide support to Directors.
  • Assist with the delivery of an effective Annual General Meeting and other member meetings as required.
  • Provide company secretarial services and governance support for the subsidiaries of Heritage and People's Choice.
  • Company Secretariat administration activity.
  • Ad hoc governance projects.
  • Promote a sound risk culture and proactively manage risks.
  • Uplift corporate governance practices and identify and implement continuous improvement.
  • Lead one or more company secretary professionals.

About You

To be considered, you'll be a proactive professional with a minimum six years' experience in a similar position. Your expertise will be instrumental in assisting the organisation to navigate complex regulatory frameworks and achieve key strategic objectives.

Your work history will also demonstrate:

  • Strong experience in corporate governance.
  • Strong drafting, analysis, and negotiating skills.
  • Relevant tertiary qualifications in law, business, or commerce.
  • Significant financial services or other regulatory experience (desirable).
  • Ability to manage staff.
