About the Role

We seek a seasoned Senior Legal Counsel to handle a broad scope of legal tasks in one of Australia's fastest-growing startups. This role provides a unique chance to be our first in-house counsel, allowing you to establish and refine our commercial legal framework while working closely with various teams to ensure compliance, mitigate risks, and gain exposure to multiple areas within Loadsmile.

Main Responsibilities

  • Develop and implement Loadsmile's commercial legal framework to enable efficient scaling and operation in line with our rapid growth - drafting and updating agreements and playbooks, overseeing and participating in projects to enhance internal processes and operational efficiency.
  • Review, create, negotiate, and interpret various commercial agreements including SaaS agreements, NDAs, vendor contracts, transport agreements, platform integration, and partnership agreements, guaranteeing these agreements adequately safeguard the company's interests, improve processes, and boost scalability.
  • Support company secretary duties, including drafting board and shareholder resolutions, and managing business registrations with ASIC.
  • Lead the legal function task force as the business prepares for an ASX IPO listing.
  • Offer guidance on general corporate matters such as compliance with shareholders' deeds, company constitution, corporate governance, regulatory compliance, and risk management strategies.
  • Develop and sustain a framework of compliance within the organisation, encompassing claims and insurance ownership.
  • Collaborate cross-functionally to develop and refine legal processes, policies, and procedures.

Required Skills and Qualifications

  • Qualified attorney with a minimum of 8+ years PQE, having experience in both private practice and in-house at a high-growth organisation.
  • Project management experience, demonstrated capability to independently drive projects forward by securing necessary support from others while operating in a cross-functional role.
  • Able to work independently and collaboratively in a fast-paced environment.
  • Exceptional communication skills, enabling effective interaction with stakeholders at all levels.
  • Strong analytical mindset to identify potential risks and implement effective controls.
