Our organization comprises two entities: YMCA Whittlesea Incorporated and YMCA Youth and Community Services Limited. Each entity is governed by a Board of Directors, with one entity having Standing Committees to support the Board's work.

Job Summary

We seek a dynamic and experienced Company Secretary/Governance Manager to provide support to our Board on a contractor basis, working at least 3 days per month. Reporting directly to the Board Chairs, the Company Secretary will be accountable to the Boards and responsible for driving best practice in governance.

This role will champion the integrity of the organization, promote high standards of ethical and corporate behaviour, and bridge the interests of the Board, management, and stakeholders.

Key Responsibilities
  • Coordinating the preparation and dispatch of Board agendas, briefing papers, and minutes.
  • Developing the Board calendar and work plan.
  • Managing Board processes and ensuring compliance with the Corporations Act and the Company's Constitution.
  • Overseeing the timely preparation of the annual report, annual return, and Directors' report.
  • Collaborating with Chairs to ensure effective Board operation, including the timely implementation of Board decisions and processes.
Requirements
  • Previous governance experience.
  • Governance or company secretary qualification (or similar).
  • A good understanding of audit and internal controls.
  • A good understanding of risk management and industry knowledge.
  • Legal right to live and work in Australia.
  • Ability to obtain a Working with Children Check (WWCC) and National Police Check.
