Your Role- Commercial: Provide sound commercial and legal advice to the executive management team. Ensure a robust system for contract management and filings. Advise the company and work alongside external counsel on any claims and litigation.
- Governance and Risk: Manage the Risk Committee and report to the Board and Executive team on key business risks and governance or regulatory issues.
- Company Secretarial: Advise the Board on responsibilities and duties under the Corporations Act, corporate governance regulations and any other regulatory matter. Ensure agendas, papers, meetings and minutes are professionally prepared in a timely manner to drive quality decisions. Manage the company's regulatory obligations, shareholder registry and any employee share plans.
- Compliance and Reporting: Develop, implement and monitor our internal compliance framework including governance policies. Ensure all reporting requirements are accurate, professionally presented and timely.
- Growth, M&A and Strategy: Partner with the executive leadership team to drive growth, whilst balancing risk. Play a lead role in any M&A or funding transactions ensuring shareholder, customer and employee interests are protected or grown.
- Leadership: Demonstrate constructive behaviours in the senior leadership team and work collaboratively with staff at all levels of the business.
We require a candidate with:
- 10 years post-admission experience, preferably in-house for a large corporation or in a top-tier firm.
- AICD Company Secretary qualification or 5+ years performing this function for a high-growth business.
- Experience in regulated industries is essential. Healthcare, pharmaceuticals, or cannabis are highly desirable.
- UK experience is also highly desirable.
