About the Role

Cochlear Ltd, a global leader in implantable hearing solutions, is seeking a highly skilled Assistant Company Secretary and Senior Legal Counsel to join our Sydney-based team. As a key member of our legal department, you will play a critical role in advising on and implementing corporate governance processes, policies, and initiatives that align with best practice standards.

Key Responsibilities
  • Provide expert corporate advisory services, including advice on corporate governance matters, directors' duties, and shareholder rights.
  • Support the effective planning and management of Board business, including preparing agendas, minutes, and Board papers.
  • Manage corporate filings and ensure timely lodgement of statutory documents, ensuring compliance with the ASX Listing Rules.
  • Facilitate compliance with the Share Trading Policy and Continuous Disclosure Policy, partnering with our P&C Rewards team to support Employee and Executive Equity Plans.
  • Proactively identify legal developments and advise relevant stakeholders, providing commercially focused legal support.
Requirements

To be successful in this role, you will require:

  • A Legal Practicing Certificate in Australia.
  • At least 7 years of post-qualification experience, preferably with a top-tier law firm or in-house at an ASX listed company.
  • Strong drafting and research skills, with excellent knowledge of corporate law and the ASX Listing Rules.
  • Ability to work autonomously and cross-functionally with teams, including Finance and People & Culture.
  • Exceptional business judgment, analytical skills, and interpersonal, communication, drafting, and negotiation skills.
