The team has an exceptional track record advising on landmark transactions including major takeovers, schemes of arrangement, IPOs, private equity deals, and complex cross-border transactions. The team acts for ASX-listed companies, multinational corporations, private equity funds, investment banks, and emerging high-growth businesses on their most significant corporate matters. Their lawyers work at the forefront of corporate law developments, providing strategic advice on takeovers regulation, continuous disclosure obligations, corporate governance standards, and regulatory compliance across multiple jurisdictions.
About the Role
As Australia/'s corporate landscape continues to evolve with increasing M&A activity, capital markets transactions, and regulatory complexity, our client/'s Corporate Advisory team is seeking an experienced Senior Associate to join their market-leading practice in Melbourne or Sydney.
This represents an outstanding opportunity for an ambitious corporate lawyer with strong technical skills and commercial instincts to advance their career with one of Australia/'s most respected corporate practices. You will work on high-profile transactions alongside senior partners while gaining exposure to Australia/'s most significant corporate deals and building relationships with leading market participants.
Key Responsibilities
- Advise ASX-listed companies, private companies, and financial institutions on complex corporate transactions
- Manage M&A transactions including takeovers, schemes of arrangement, and private equity deals
- Draft and negotiate transaction documents including bid implementation agreements, scheme booklets, and disclosure documents
- Provide strategic advice on ASX Listing Rules, Corporations Act, and takeovers regulation compliance
- Handle corporate governance matters including board advisory services and regulatory compliance
- Advise on equity capital markets transactions including IPOs, rights issues, and secondary offerings
- Conduct comprehensive due diligence on corporate transactions and coordinate with specialist teams
- Provide continuous disclosure advice and manage ASX and ASIC regulatory matters
- Support private equity and venture capital transactions from term sheets through to completion
- Handle corporate restructures, spin-offs, and group reorganisation transactions
- Manage client relationships and support business development initiatives
- Mentor junior lawyers and contribute to team knowledge sharing and development
Senior Associate Role Expectations
- Provide expert advice on complex corporate matters with minimal supervision
- Take day-to-day responsibility for corporate transactions with direct client contact
- Demonstrate exceptional attention to detail in managing multi-faceted corporate deals
- Show commercial acumen in structuring transactions and identifying regulatory risks
- Communicate effectively with corporate clients, investment banks, and professional advisers
- Build and maintain relationships with key players in Australia/'s corporate advisory market
- Work effectively under pressure in deadline-driven, high-stakes transaction environments
- Understand corporate market trends and regulatory developments affecting clients
- Lead negotiations with counterparties and coordinate complex transaction teams
- Support team development and contribute to a collaborative, high-performance culture
About the Ideal Candidate
We are looking for someone who has:
- 5-8 years/' experience in corporate advisory, M&A, or capital markets law with a top-tier firm
- Strong experience across M&A transactions, takeovers, schemes of arrangement, and corporate governance
- Excellent knowledge of Corporations Act, ASX Listing Rules, and takeovers regulation
- Experience with equity capital markets transactions and regulatory compliance matters
- Outstanding drafting and negotiation skills with commercial approach to complex transactions
- Strong analytical skills and ability to manage multiple high-value corporate matters
- Proactive approach with genuine passion for corporate law and market developments
- Exceptional client relationship skills and business development acumen
- Ability to work collaboratively in fast-paced, demanding transaction environments
- Leadership qualities and commitment to mentoring junior team members
Highly Regarded
- Private equity and venture capital transaction experience
- Cross-border M&A and international transaction exposure
- In-house corporate counsel experience with major corporations
- Professional qualifications in multiple jurisdictions
- Understanding of ESG considerations in corporate transactions
