In-House Legal Counsel

Legal Counsel and Company Secretary to join a dynamic, fast-growing healthcare organisation, driving its success and strategic objectives while shaping operations, governance, and compliance frameworks.
The Role:
This newly created Legal Counsel role, reporting to the Chief Financial Officer, will oversee the organisation's legal, corporate governance, and compliance functions while collaborating closely with senior management and external legal advisors. It offers a unique opportunity to make a meaningful impact within a forward-thinking organisation dedicated to innovation and excellence.
Key Responsibilities:
- Manage external counsel as needed.
- Establish and maintain group-wide contracts registers, including processes for monitoring key dates and requirements.
- Prepare and manage franchising agreements (and related documentation).
- Manage contractual requirements for lease portfolio, including guidance & drafting for negotiations, renewals, terminations and ongoing lease compliance.
- Drafting and Negotiating a range of commercial contracts.
- Maintain internal legal templates library.
- Act as Company Secretary for nominated entities and assist with corporate governance across the organisation.
- Prepare and maintain corporate documentation, including registers, resolutions, and regulatory filings.
- Ensure compliance with the Franchising Code and maintain associated disclosure documents.
- Support enterprise risk management and coordinate the annual insurance renewal program.
Qualifications & Experience:
- Admission as a lawyer in Australia.
- 3–5 years post-qualification experience with a background in consumer law and/or Corporate/Commercial Law.
- Exposure to the healthcare or franchising industries is desirable.
- Strong attention to detail and problem-solving abilities.
- Excellent stakeholder management and communication skills.
- Resilience in a fast-paced, dynamic environment.
